<div><p><b>The opportunity</b></p>
<p>We have an exciting opportunity to join Trowers &amp; Hamlins' international corporate and commercial practice in our Saudi Arabia office. Our team provides strategic legal advice on corporate and commercial matters, mergers and acquisitions, private equity, joint ventures, regulatory compliance, and technology law, supporting both local and international clients in navigating Saudi Arabia's evolving legal landscape.</p>
<p>We are seeking a Saudi qualified junior lawyer to support corporate, commercial and regulatory matters, with a strong focus on company formation, structuring, governance and corporate secretarial work within Saudi Arabia. In this role, the distribution of work will be &ndash; 40% Corporate &amp; Commercial, 50% Regulatory &amp; Corporate Secretarial and 10% Government Liaison.</p>
<p><b>What you'll be doing</b></p>
<p><b>Corporate &amp; Commercial</b></p>
<ul><li>Advise on the Saudi Companies Law and related regulations.</li>
<li>Handle company (Saudi and foreign) formation, restructuring, and liquidation processes.</li>
<li>Setting up NGOs.</li>
<li>Advise on foreign investment and regulatory requirements.</li>
<li>Draft and review:</li>
<li>Shareholders' agreements and joint venture agreements (Saudi focus specific),</li>
<li>Agency and franchise agreements (including registrations).</li>
<li>Advise on corporate governance, including:</li>
<li>Board composition, quorum and meetings,</li>
<li>Directors' duties and governance frameworks.</li>
<li>Corporate structuring/restructuring &ndash; advise on optimal corporate structures under the Saudi Companies Law, taking into account regulatory, ownership and operational requirements.</li>
</ul>
<p><b>Regulatory &amp; Corporate Secretarial</b></p>
<p>Manage filings and compliance with:</p>
<ul><li>Ministry of Investment (MISA)</li>
<li>Saudi Business Center</li>
<li>Ministry of Commerce</li>
<li>The Saudi Arabian Competition Authority</li>
<li>Monsahart (The Small and Medium Enterprises General Authority)</li>
<li>Saudi Authority for Intellectual Property</li>
<li>Oversee corporate secretarial functions and ongoing compliance.</li>
<li>Intellectual Property &amp; Commercial Support:</li>
<li>Handle intellectual property registrations</li>
<li>Provide general commercial legal support</li>
</ul>
<p><b>Government Liaison</b></p>
<ul><li>Liaise with government authorities to process applications and approvals.</li>
<li>Attend ministries and regulatory bodies to complete official procedures.</li>
</ul>
<p><b>What you'll need</b></p>
<p>The firm has a Career Development Framework which sets out the competencies we expect of those at this grade. In particular for this role we require:</p>
<ul><li>Saudi national.</li>
<li>Saudi qualified lawyer licensed by the Saudi Bar Association.</li>
<li>1-2 years' post qualification experience in general corporate/commercial law gained at a reputable Saudi firm.</li>
<li>Strong experience with company setup, MISA licensing and regulatory filings.</li>
<li>Familiarity with Saudi government portals (including Saudi Business Center portal, Human Resources and Social Development (HRSD), Ministry of Investment, General Authority for Competition).</li>
<li>Hands on, practical and detail-oriented.</li>
<li>Client-focused mindset with strong problemsolving abilities.</li>
<li>Flexibility, positivity and an ability to work effectively in a close-knit office.</li>
<li>Fluent in Arabic and English.</li>

<p><b>The role</b></p>
<p>Reporting to the Regional Managing Partner, you will be responsible for the smooth and efficient running of the office, supporting fee earners and leading a small support team. Key responsibilities include:</p>
<ul><li>Acting as the first point of contact for day‑to‑day office operations</li>
<li>Supporting fee earners to ensure a professional, client‑focused environment</li>
<li>Managing and developing a small administrative support team</li>
<li>Overseeing facilities, suppliers, health &amp; safety and compliance</li>
<li>Working closely with colleagues across the region and London</li>
</ul>
<p><b>About you</b></p>
<p>You will be an experienced office management professional who enjoys taking ownership, leading by example and creating a well‑run, positive working environment.</p>
<ul><li>Experience in a law firm or professional services environment</li>
<li>Background as a legal secretary or senior support professional</li>
<li>Proven people‑management experience</li>
<li>Highly organised, proactive and confident working autonomously</li>

<li>Microsoft Office proficiency</li>
