<div><p>Trustpoint.One is seeking an experienced asset-based lending attorney to join multinational banking and financial services company as a secondee for at least three months on a remote basis.</p>
<p>
The attorney will assist the company&rsquo;s legal team in providing day-to-day legal support to its Asset Based Lending group, which provides highly structured asset based solutions for a wide array of complex financings across the U.S. and Canada, as well as subsidiaries of U.S. entities located in Europe and Asia. You will leverage your legal knowledge to help coordinate the legal team&rsquo;s role in supporting and advising on secured asset-based lending credit facilities. Duties include, but are not limited to:</p>
<ul>
<li>Reviewing and negotiating credit and collateral documentation, amendments, waivers, term sheets, proposal and commitment letters, and intercreditor agreements.</li>
<li>Reviewing and negotiating confidentiality agreements and non-reliance letters.</li>
<li>Updating loan document templates.</li>
<li>Researching and advising on various legal issues impacting secured credit facilities and asset-based lending.</li>
</ul>
<p><b>Qualifications:
</b></p><ul><li>JD or educational equivalent required (with at least 5 years of post-JD practicing experience at a law firm and/or in-house legal department preferred).</li>
<li>Experience with secured credit facilities.</li>
<li>Excellent verbal and written communications skills.</li>
<li>Licensed to practice law and a member in good standing in state of residence.</li>
<li>Experience with asset-based lending credit facilities and/or familiarity with borrowing bases from cash flow lending is preferred.</li>
<li>Knowledge of the legal and regulatory requirements for secured lending (including asset-based lending)</li>
</ul>
<p>Pay rate: Commensurate with experience, starting at $90/hour.</p>

Asset-Based Lending Attorney

<div><p>Trustpoint.One is pleased to be partnering with a national law firm's Charlotte office in their search for an Patent Agent with a minimum of two years' experience and a background in engineering and/or computer science. USPTO registration is preferred.</p>
<p><b>
Responsibilities</b></p>
<ul>
<li>Prepare, draft and file patent applications.</li>
<li>Perform research and analysis, and provide guidance on a variety of patent and IP-related issues.</li>
<li>Conduct database searches for patentability and freedom to operate analyses</li>
<li>Analyze patent and scientific papers and documents to assist patent attorneys on patent prosecution, counseling, and litigation</li>
<li>Draft patent applications and responses to office actions; and advise lawyers on technology issues in preparation for depositions.</li>
</ul>
<p><b>Skills</b></p>
<ul>
<li>At least two years of proven working experience as a patent agent, preparing and prosecuting patent applications</li>
<li>Highly organized with ability to juggle multiple deadlines in a fast-paced environment</li>
<li>Strong writing and communication skills along with attention to detail</li>
<li>Extensive computer and database expertise</li>
<li>A background in mechanical, electrical, biomedical computer science, or a related engineering field is preferred.</li>
<li>Bachelor's degree in engineering or computer science is required.</li>
