Air India - Transactional Lawyer - Leasing/Financing/Deliveries/Redeliveries

Job Purpose

  • Responsible to provide comprehensive legal support and guidance to the organization, ensuring compliance with aviation laws and regulations while protecting the company's interests
  • Manage legal risks, handle regulatory matters, and oversee corporate transactions, and contractual obligations for aircraft leasing, financing, deliveries, redeliveries and certain other business teams as may be assigned by the General Counsel from time to time.
  • Being able to supervise and mentor some of the day-today work of the Legal Counsels and Senior Legal Counsels, and assisting the Managing Counsel/Sr. Principal Counsel in this area of team management.

Key Accountabilities

Functional Activities:

  • Working closely with the Commercial teams on aircraft leasing and financing transactions, as well as aircraft deliveries, redeliveries, lessor novations and refinancing.
  • Providing transactional and advisory support to certain other business departments as assigned by the General Counsel from time to time.
  • Assist with financing transactions within the aviation industry, such as debt or equity offerings, private placements, and finance arrangements for aircraft purchases or leases
  • Participate in transactional negotiations with external parties, such as clients, vendors, or business partners
  • Ensure compliance with applicable laws and regulations and protect the interests of the organization
  • Support and mitigate risks, manage contract lifecycles, track deadlines, and facilitate effective contract administration to protect the organization's interests
  • Draft & Review contracts and agreements with lessors and vendors.such as vendor contracts, client agreements, licensing agreements, employment contracts, and non-disclosure agreements
  • Familiarize oneself with the aviation laws of both India and international, regulations, and guidelines applicable in India, such as the Aircraft Act, 1934, the Aircraft Rules, 1937, and the regulations issued by the Directorate General of Civil Aviation (DGCA)
  • Facilitate in restructuring agreements, including shareholder agreements, restructuring plans, and asset purchase agreements
  • Advise on legal risks and implications of any transaction and recommend appropriate strategies to mitigate them
  • Review legal and financial documents, identify potential risks and liabilities, and provide recommendations based on the findings
  • Prepare and draft transactional documents, including contracts, agreements, and legal opinions
  • Manage contract databases, tracking contract milestones, and ensuring timely renewal or termination of contracts
  • Vet various agreements, both internally and with the assistance of lawyers

Any other additional responsibility could be assigned to the role holder from time to time as a standalone project or regular work. The same would be suitably represented in the Primary responsibilities and agreed between the incumbent, reporting officer and HR.
