Job Description:

A reputed organization is seeking a qualified and experienced Company Secretary to independently manage its Secretarial and Legal functions. The ideal candidate will have strong knowledge of corporate laws, regulatory compliance, and governance practices.

Key Responsibilities:

  • Serve as the Company Secretary for the organization and its subsidiaries.
  • Ensure compliance with statutory and regulatory requirements.
  • Independently handle Secretarial and Legal Departments.
  • Conduct secretarial due diligence, manage legal filings, and maintain statutory records.
  • Draft Board/Committee Notes, Minutes, Notices, Resolutions, and Directors' Reports.
  • Organize and conduct AGMs, EGMs, Board, and Committee Meetings.
  • Ensure timely MCA filings and adherence to the Companies Act, 2013.
  • Manage legal processes for mergers, amalgamations, and restructuring.
  • Oversee DIN and DSC applications/renewals.
  • Coordinate governance and compliance matters with stakeholders.

Required Qualifications & Skills:

  • Company Secretary (CS) with a Law degree (LL.B).
  • Strong understanding of Companies Act, SEBI regulations, and MCA compliance.
  • Experience in drafting legal documents and handling corporate filings.
  • Proficiency in MS Office (Word, Excel, PowerPoint).

Excellent communication, coordination, and presentation skills.
