Associate Attorney – Business Law

We are seeking a highly motivated Associate Attorney to join our Business Law practice. The ideal candidate will provide legal counsel to corporate clients on a range of matters, including business formation, contracts, compliance, mergers and acquisitions, and dispute resolution. This role requires strong analytical skills, excellent communication abilities, and a commitment to delivering exceptional client service.

Key Responsibilities

  • Client Advisory: Counsel clients on business formation, governance, and corporate structure for corporations, LLCs, partnerships, and other entities.
  • Transactional Work: Draft, review, and negotiate contracts, shareholder agreements, operating agreements, vendor agreements, and other business documents.
  • Compliance & Risk Management: Advise on regulatory compliance, employment law considerations, intellectual property protection, and risk mitigation strategies.
  • Mergers & Acquisitions: Assist with due diligence, transaction structuring, and the preparation of purchase agreements, disclosure schedules, and closing documents.
  • Dispute Resolution: Support litigation teams in commercial disputes, including contract enforcement, business torts, and shareholder conflicts.
  • Research & Analysis: Conduct legal research and prepare memoranda on emerging business law issues.
  • Client Development: Maintain and grow client relationships through exceptional service and networking.

Qualifications

  • Juris Doctor (J.D.) from an accredited law school.
  • Admission to the state bar (in good standing).
  • 1–4 years of experience in business, corporate, or commercial law (transactional and/or litigation).
  • Strong drafting, negotiation, and analytical skills.
  • Excellent organizational skills and attention to detail.
  • Ability to manage multiple matters in a fast-paced environment.

Preferred Skills

  • Experience with startups, closely held businesses, and mid-market companies.
  • Familiarity with securities law, financing transactions, and cross-border deals.
  • Comfort with cloud-based legal research and document management tools.
  • Demonstrated business acumen and client-focused mindset.

Job Type: Full-time

Pay: $60,000.00 - $80,000.00 per year
