We are growing, again!RC Kelly Law Associates, LLC is seeking to add another Associate Attorney to our team. We focus our practice on business and transactional law. This role is ideal for a recent law school graduate or early-career attorney who enjoys working at the intersection of law, business, and strategy. You’ll work closely with clients on business transactions, contracts, corporate governance, and employment law matters — gaining hands-on experience from day one in a supportive, team-oriented environment. Role Overview

We are seeking an Associate Attorney with a strong background — or genuine interest — in business law and transactional law, including buy/sell transactions, strategic business initiatives, contracts, and corporate governance.

In this role, you will also advise organizations on employment laws and compliance, helping them align their workforce strategies with broader business goals. You will work within a supportive, team-driven environment, collaborating with attorneys and professionals to deliver comprehensive, business-focused solutions for our clients.

Qualifications

  • Juris Doctor (JD) from an accredited law school.
  • Member of the Pennsylvania Bar in good standing, or pending bar admission.
  • General experience or a desire to learn real world business law, employment law, transactional law and corporate law is a plus.
  • Ability to translate complex legal concepts into practical, business-focused advice.
  • Strong drafting, negotiation, and problem-solving skills.
  • Excellent communication and relationship-building abilities.
  • Team-oriented mindset with a professional approachable working style.
  • Ability to manage multiple projects.

Key Responsibilities

  • Support mergers, acquisitions, and buy/sell transactions , including document drafting, due diligence, and risk assessment.
  • Advise business leaders on legal and operational implications of key business decisions.
  • Contract drafting, review, and negotiations for a wide range of business contracts and other commercial agreements.
  • Guide clients on corporate governance, entity structuring, and compliance matters.
  • Provide guidance on employment law issues such as workplace policies, personnel practices, and compliance with federal and state regulations.
  • Counsel on HR best practices, employee relations, and workforce planning from a legal perspective.
  • Monitor legal and regulatory developments impacting clients and provide proactive solutions, working with both trade associations and individual businesses.
  • Work primarily in an office-based role located in Lansdale, PA (Montgomery County), with limited travel depending on client needs.
