Job Summary:
Associate General Counsel assists in hands-on counsel to all levels of executive staff and assists with management of the operations of the legal department. The position identifies and analyzes legal issues, drafts key documents, presents clear recommendations to top management, and supports legal compliance. Additionally, this position is responsible for the day-to-day management of the Koniag corporate insurance program, supervision of business licensing and registrations for all Koniag majority-owned entities, and support to subsidiary corporate governance activities.
Essential Functions include, but are not limited to:
- Provide legal support on an as-needed basis to corporate departments and subsidiaries.
- Assist with subsidiary governance matters, including drafting resolutions and minutes and oversight of maintaining governance records.
- General corporate compliance and legal assistance, including but not limited to drafting and reviewing of a wide range of contracts.
- Perform in-depth research on legal topics applicable to the company.
- Monitor the legal and regulatory environment for any changes in identified business areas or topics.
- Draft policies and procedures related to various topics and risk areas.
- Identify and assess legal risks and opportunities within the research and innovations areas.
- Support the effective and efficient use, coordination, and management of outside counsel.
- Advise on corporate structure, governance, and proper operation of international subsidiaries.
- Assist with other legal department objectives.
- Preparing and monitoring various state regulatory filings, including form/rate, license applications, financial, and related filings.
- Drafting memoranda and advisory opinions; reviewing and advising on legal issues related to company and subsidiary matters.
- Manage and coordinate outside counsel.
- Other duties as assigned.
Insurance/Risk:
- Administers the companywide comprehensive risk insurance program as a recognized authority, including insurance certificates, bond requests, contractual liability, and renewal applications, audits, and ensuring that company’s liability is low.
- As a recognized authority, reviews and assesses risk management policies and protocols; makes recommendations and implements modifications and improvements.
- Reviews and analyzes data for accuracy to ensure lowest possible insurance rates, including use of a captive and all of its complexity that is not typical of an insurance program.
- Actively participate with General Counsel on analysis of organization’s legal and regulatory compliance posture, and the development and implementation of governance, risk and compliance control recommendations.
- As a recognized authority, manages and administers the company’s property, casualty, marine and financial professional insurance programs including broker and carrier relationships, negotiations, policy terms and conditions, plan design, applications, billing and allocation, certificates, file maintenance and claims services. Must be able to also address unusually complex technical issues for the foregoing coverage areas (e.g., use of captive).
- Review business contracts and agreements for insurance, indemnification, and subrogation requirements; review the scope of work to determine if existing coverages are valid.
- Report and administer claims in accordance with policy conditions and requirements; assist General Counsel in management of large claims.
- Coordinate with broker and subsidiary clients to obtain insurance estimates for existing and new insurance products for bid proposals including, but not limited to coverage for unusually complex issues and innovative solutions to obtain and maintain such coverage (e.g., use of captive, coverage in foreign countries, new lines of business unrelated to current business).
- Participate in management and team meetings as a recognized authority regarding coordination of risk and insurance services to client subsidiaries.
Knowledge, Skills & Ability:
- Law degree and membership in at least one US state bar (preference for Alaska).
- Working knowledge of the Alaska Native Claims Settlement Act and Alaska Native Corporations.
- Must be culturally sensitive and be able to relate and interact with Shareholders.
- High ethical standards and ability to maintain strict confidentiality is required.
- Must have excellent judgment, client counseling, multi-tasking, project management, and decision-making skills.
- Able to handle confidential information and data requiring the highest degree of attention and discretion.

- International Experience.
- Sit for an extended time in front of a computer.
- Requires strong written and oral communication and interpersonal skills as well as excellent judgment in the handling of legal matters.
- A familiarity with general contracting matters, including risk allocation and intellectual property terms, is required.
Office Location and Travel:
This position is in Anchorage, AK.
Occasional frequent travel to other local and out of state business sites, conferences and meetings is required.
Working Environment & Conditions:
This position is primarily indoors, consistent with a standard office position and has a noise level of mostly low to moderate. The incumbent is required to stand, walk; sit; use hands to finger, handle, or feel objects, tools, or controls; reach with hands and arms; talk and hear. The workload may require the incumbent to sit for extended periods of time. The incumbent must occasionally lift and/or move up to 25 lbs. Specific vision abilities required by the job include close vision, distance vision, color vision, depth perception, and the ability to adjust focus.
