Associate General Counsel, Corporate & Regulatory
Position Overview
Reporting to the General Counsel, the Associate General Counsel, Corporate & Regulatory serves as a senior legal advisor to this fast-growing
renewable energy asset management business
, providing strategic and practical legal counsel across a full range of activities, including
corporate governance,
commercial transactions
,
regulatory compliance
,
risk management
,
employment and business operations
. This role partners closely with executive leadership and cross-functional teams to enable growth, mitigate risk, and support the company’s strategic objectives.
Key Responsibilities
Corporate Governance & Strategy
- Advise the General Counsel, the executive team, and the Board on corporate governance matters and fiduciary duties.
- Support the Company and its Affiliates in connection with internal corporate matters, including preparing resolutions and Board presentations and maintaining corporate records.
- Manage entity and subsidiary governance.
Commercial & Transactional Support
- Lead negotiation of commercial agreements, including Master Services Agreements, O&M Agreements, and other project related documentation, Non-Disclosure Agreements, SAAS contracts, licensing agreements, SREC Purchase and Sale Agreements, and vendor contracts.
- Support service product launches and go-to-market activities.
Mergers, Acquisitions & Strategic Transactions
- Support M&A, joint ventures, and investments including due diligence and integration.
Regulatory, Compliance & Risk Management
- Advise on corporate, securities, privacy, consumer finance, employment, and industry regulations.
- Support compliance programs and internal controls.
Data, Technology & Privacy
- Advise on data privacy, cybersecurity, systems implementations, and related vendor matters.
Cross Functional Leadership
- Partner with Asset Management, Operations, Finance, Technology, Product Development, and Human Resources teams.
Specific Experience - Required
Renewable energy project experience, including residential, C&I and Utility Scale
Project management leadership
U.S. Federal and State Regulatory Compliance (FERC and NERC regulatory experience is helpful)
Excellent drafting and negotiation skills
Strong analytical skills
Demonstrated ability to integrate legal advice and practical business requirements
Law Firm and In-House Legal experience
Qualifications
- Juris Doctor from accredited law school
- Active bar membership
