The Associate will work as part of a multidisciplinary team advising international clients on M&A transactions, public procurement matters, and technology-related matters. The role requires strong legal fundamentals, commercial awareness, and the ability to operate comfortably in complex, fast-moving transactions.
The Associate will support the partner in charge along with the other associates across the full transaction lifecycle from structuring and due diligence to negotiation, execution, and post-closing matters.
Key Responsibilities:
Mergers & Acquisitions
:

Assist in structuring, negotiating, and executing M&A transactions.

Conduct legal due diligence and prepare due diligence reports.

Draft and review transaction documents, including term sheets, share purchase agreements, shareholders’ agreements, and ancillary documents.

Coordinate with different counsels and advisors, and internal teams.
Public Procurement
:

Advise on public procurement and government contracting frameworks.
-
Support clients in tender processes, bids, and contract negotiations with public authorities.

Review and draft procurement-related documentation and advise on compliance and risk allocation.

Assist in procurement-related disputes or regulatory issues, where applicable.
Technology & Commercial Contracts

Draft, review, and negotiate technology and commercial agreements.

Advise on regulatory and contractual aspects of technology-driven projects, including data-related considerations (to the extent applicable).
General

Provide clear, practical, and commercially focused legal advice.

Manage multiple workstreams under tight deadlines.

Contribute to knowledge development and internal training.
Qualification Requirements:
Education & Professional Background
-
Law degree from a reputable university.
-
Admission to practice law in Egypt before at least the First Instance Court.

3–6 years of relevant post-qualification experience in a reputable law firm.
Experience

Demonstrable experience in M&A transactions is
mandatory
.

Prior exposure to public procurement and/or government contracts is
strong advantage

Experience with technology and commercial contracts is
strong advantage
.

Experience working on cross-border matters and with international clients is
mandatory

Experience working on legal research is
mandatory
