Attorney – Corporate, M&A

We are a boutique transactional law firm focused on corporate law, corporate transactions, mergers and acquisitions, and ongoing business advisory services. Our practice is expanding rapidly, fueled by strong referral networks and increased deal flow. We are looking to add a motivated, entrepreneurial attorney who is looking for an opportunity to grow.

Position Overview

The ideal candidate has 3–10 years of experience in corporate transactions and M&A transactions and is seeking a firm where they can build long-term client relationships, handle meaningful work, and contribute to a collaborative and growth-oriented culture. We are looking for someone who can bring an existing portfolio of clients or projects while also having the capacity to take on substantial additional work from the firm to augment their compensation.

Kkey Responsibilities

• Represent buyers and sellers in M&A transactions, including drafting and negotiating purchase agreements, ancillary documents, LOIs, and due diligence materials.
• Advise closely held businesses on corporate governance, organizational structures, operating agreements, and ongoing corporate matters.
• Handle real estate transactional matters, including commercial leases, purchase agreements, title review, and financing.
• Draft, review, and negotiate a wide range of business contracts.
• Provide practical and proactive legal counsel to business clients.
• Manage and grow an existing book of business while supporting firm-wide clients and overflow work.

Qualifications

• J.D. from an accredited law school; licensed to practice in Ohio
• 3–10 years of experience in corporate, M&A, and real estate law
• Strong drafting and negotiation skills
• Ability to manage multiple projects with competing deadlines
• Comfortable working in a fast-paced environment with shifting priorities
• Entrepreneurial mindset with the desire to contribute to firm growth
• Existing client relationships and portable book of business
• Excellent communication, responsiveness, and client service skills

Pay: $85,000.00 - $100,000.00 per year
