Position Overview
Seeking an experienced Corporate and Real Estate Attorney to manage legal matters, advise clients, and prepare legal documentation related to corporate transactions and real estate projects.
Core ResponsibilitiesCorporate Law
- Draft and negotiate various business agreements, including buy-sell, merger and acquisition, operating, shareholder, non-compete, and employment agreements.
- Advise on and facilitate corporate financing, secured transactions, mergers, acquisitions, partnerships, LLCs, joint ventures, and divestitures.
- Prepare regulatory filings and governance documents such as bylaws and capitalization plans.
- Interpret applicable laws, rulings, and regulations for corporate clients.
- Tax expertise is advantageous.
Real Estate Law
- Draft, review, and negotiate documentation for real estate transactions, including purchase agreements, commercial leases (office, retail, industrial), and conveyance documents.
- Conduct title and survey reviews, resolve related issues, oversee due diligence, and coordinate property closings.
- Advise clients on real estate law and regulatory compliance.
Essential Skills & Abilities
- Strong organizational and project management capabilities.
- Advanced research and writing proficiency with expertise in online legal research tools.
- Outstanding communication skills, both verbal and written.
- Excellent judgment and the ability to work independently with minimal oversight.
- Demonstrated ability to manage and nurture client relationships.
- Proactive participation in business development activities.
Qualifications
- Extensive experience in complex corporate and/or real estate legal matters.
- A portable book of business is preferred but not mandatory.
- Graduation from an accredited law school.
- Admission to the bar in a U.S. state (Michigan preferred).
Job Type: Full-time
Pay: $120,000.00 - $150,000.00 per year
