Job Purpose
Providing legal support on all matters related to SALIC's investment activity under the direction of SVP -Transaction Advisory.
Key Roles and Responsibilities Strategic Contribution
- Actively facilitate effective teamwork and delivery of work processes to achieve high-performance standards.
Policies and Procedures
- Assist in development and implementation of functional policies and procedures to ensure that investment activities are conducted in line with relevant procedural/regulatory requirements.
Transaction Advisory
- Provide legal support on the full scope of transactional and investment-related matters deriving from SALIC's M&A activity, including structuring, engagement of advisors, drafting and negotiating non-disclosure agreements, term sheets and definitive transaction documentation, and supporting closing transactions and post-closing integration.
- Monitor and review deal documents and provide legal advice/recommendations as a result of the legal due diligence in coordination with external legal advisors.
- Draft and review the legal agreements for deal structuring and closure in collaboration with relevant departments.
- Provide annual review on the company agreements with partners and investors such as supply agreements, shareholder agreements, stock purchase agreements, and sale agreements.
- Ensure regulatory compliance requirements are met for investment opportunities and deals.
- Support investment team in preparing M&A-related board and executive committee meeting materials.
- Liaise with the relevant stakeholders for the preparation of all relevant documentation for the submission for government permits as per the government requirements.
- Act as the custodian of all legal documentation related to transaction advisory.
Job Specifications
Industry / Domain: Transaction Management / Legal.
Qualifications and Certifications: Bachelor's / Master's degree in Law.
Work Experience: 6-8 Years PQE, law firm experience preferred.
