ABOUT THE OPPORTUNITY
We are a pre-IPO medical technology consolidation platform executing a rapid roll-up of high-quality medical device distribution and manufacturing companies. We are building a scaled, institutional-grade enterprise across the medical device value chain — including distribution, implant manufacturing, surgical instruments, biologics, and AI-enabled surgical technology — with a clearly defined and near-term trajectory to a public listing on a major U.S. stock exchange.
This is not a traditional CFO role. We are moving fast, the stakes are high, and the upside is significant. We are looking for a financial leader who has been in the room — on roadshows, at closings, in front of institutional investors and private credit committees — and who is ready to help build something from the ground up.
THE ROLE
The Chief Financial Officer will serve as a founding executive, responsible for architecting and executing the financial strategy that takes the company from active acquisition program to public listing. You will work directly with the CEO and executive team, lead all capital markets activity, and serve as the face of the company to institutional investors, family offices, private credit providers, and acquisition targets.
This is an entrepreneurial opportunity. The meaningful upside is equity — in the form of stock grants and stock options — reflecting the CFO's role as a genuine co-builder of the enterprise value we are creating.
KEY RESPONSIBILITIES
Capital Markets & Investor Relations
- Lead all institutional investor outreach, roadshows, and capital raising activity in support of the company's Reg D 506(c) private placement and eventual public offering
- Build and maintain relationships with family offices, healthcare-focused institutional investors, sovereign wealth funds, and high-net-worth accredited investors
- Serve as the primary liaison to private credit providers for acquisition financing (targeting 4.0–5.0× EBITDA leverage per deal)
- Develop and deliver investor presentations, financial models, and offering materials
Public Listing Preparation
- Lead all IPO readiness activities, including selection and management of underwriters, legal counsel, and auditors
- Oversee implementation of public company financial infrastructure: SEC reporting (10-K, 10-Q, 8-K), internal controls, and Sarbanes-Oxley (SOX) compliance
- Partner with the Board to determine optimal listing timing, exchange selection, and offering structure
- Manage all relationships with stock exchanges, transfer agents, and market makers
Mergers & Acquisitions
- Partner with the CEO and deal team to evaluate, structure, and close acquisitions across the medical device value chain
- Lead financial due diligence, Quality of Earnings (QoE) review, and purchase price negotiation on individual transactions
- Develop and maintain the acquisition financial model, including deal-by-deal returns, portfolio-level valuation, and consolidated projections
- Structure seller-side financing components including seller notes, earn-outs, and equity rollovers
- Cultivate relationships with acquisition targets and their advisors to facilitate proprietary deal flow
Financial Leadership
- Build and lead the finance function from the ground up, including accounting, FP&A, treasury, and tax
- Prepare and present board-level financial reporting, portfolio performance metrics, and capital allocation recommendations
- Oversee post-acquisition financial integration, including ERP implementation and centralized shared services build-out
- Manage banking relationships, credit facilities, and cash management across the portfolio
QUALIFICATIONS
Required
- 12+ years of progressive finance experience, with meaningful time in public capital markets, investment banking, private equity, or public company CFO/VP Finance roles
- Demonstrated experience with public company financial reporting: SEC filings, SOX compliance, audit committee management, and investor relations
- Hands-on IPO experience — either as lead CFO, co-lead, or senior finance executive on a completed public offering
- Deep experience in mergers and acquisitions: financial due diligence, deal structuring, purchase price mechanics, and post-close integration
- Established network of institutional investors, family offices, and private credit providers in the healthcare or medtech sector
- Roadshow experience — comfortable presenting to sophisticated institutional audiences in one-on-one and group settings
- Strong financial modeling skills with the ability to build and defend complex acquisition and portfolio-level models
- CPA, CFA, or equivalent professional credential preferred
Strongly Preferred
- Experience in medical device, medtech, or healthcare services — particularly in distribution, manufacturing, or roll-up platforms
- Prior experience as CFO of a pre-IPO or recently public company
- Familiarity with Reg D 506(c) private placements and accredited investor capital raising
- Experience working with private credit markets and lender relationships in leveraged acquisition contexts
- Comfort operating in a lean, founder-led environment where speed, resourcefulness, and ownership mindset are essential
COMPENSATION & STRUCTURE
This is an equity-first opportunity structured for a financial executive who believes in the value being created and wants to participate meaningfully in the outcome.
- Base salary: Limited during the initial 120-day period; transitioning to a market-rate structure upon achievement of early milestones
- Equity: Significant founding equity stake via stock grants and stock options, vesting over time and upon achievement of key milestones including first acquisition close and IPO
- Role structure: Founding executive with Board visibility and direct CEO reporting relationship
- Location: Flexible; willingness to travel for investor meetings, roadshows, and acquisition diligence required
