Commercial Lawyer

Key Responsibilities: As a member of the ABS s Legal and Regulatory Team, you will be involved in a broad range of transactional experiences with the opportunity to branch out and practice a variety of commercial and corporate work. You will provide practical and clear advice across the organization, with a variety of legal specialists and stakeholders. You will also have the opportunity to support the Legal and Regulatory Team with a variety of legal and business issues spanning finance, accounting, tax, IP, employment, and regulation.
- Provide legal support for ABS s transactional work, including M&A activity, joint ventures, investments, finance transactions and intra-group transactions.
- Provide legal support for ABS s commercial work, including negotiation and drafting of customer contracts, collaborative agreements and vendor agreements.
- Provide legalsupport in relation to the ongoing management of ABS sinvestor-owned group structure, including advice on corporate governance matters and board, committee, and shareholder activities for the ABS group.
- Assist the Company Secretary with establishing and managing ABS s global corporate structure, including the incorporation and management of ABS entities and branches around the world and navigating new jurisdictions and their respective ongoing governance requirements.
- Work with business counterparts, both domestically and internationally, to identify and provide advice regarding legal risks and issues.
- Review, draft and update company policies and procedures to meet legal and industry standard audit requirements.
- Assist other members of the legal department with legal needs of the company, as necessary, and contribute to the overall legal function.
- Be an integral part of ABS stransactional work and ongoing projects ourlegal team is heavily involved in the growth of ABS s business, and the willingness to involve yourself in more than just the pure legal aspects of your work is essential.
Requirements:
UK or US qualified commercial lawyer, ideally with in-house experience.
- Five (5) to seven (7) years experience.
- Fluent in English (speaking, reading, and writing).
- Experience drafting and negotiations with both large-scale contracts as well as smaller sized matters.
- Exceptional critical thinking and problem-solving skills as-well-as pragmatic judgment, particularly in determining the significance of legal matters and effectively measuring and balancing legal and business risks.
- Strong legal, communications, and technical skills.
- Ability to work under pressure and flexibly with tight deadlines.
- Ability to prioritize workload in a fast-paced environment.
- Excellent teamwork and interpersonal skills, including self-motivation, a non-hierarchical attitude, collegiality and a cooperative spirit.
- Adaptable to using different styles of communication across the globe.
- Sound analytical, writing, and organizational abilities.
- Excellent knowledge of Microsoft Office software suite (MS Excel, PowerPoint, Word, SharePoint and Outlook).
- A good sense of humor and desire to collaborate with the team and stakeholders.
Preferred Requirements:
- Solid commercial experience, with an understanding of/exposure to other legal practice areas such as finance, employment, IP and data protection.
- Corporate generalist experience is a plus.
- An understanding/experience of legal processes and efficiencies within a high-performing in house function.
- Domestic and/or international experience in the telecom or space technology sector. Experience working in an international company with exposure to foreign business practices, and/or experience working on matters involving overseas jurisdictions.
- Innovative thinking about digital solutions, transactional legal work, and creating efficiencies.
- Awareness of legal technology solutions.
- Ability to speak articulately in simple non-legal language and understand the importance of integrating into the business ways of working.
