Role Overview

The Company Secretary is pivotal in safeguarding legal and regulatory compliance, strengthening corporate governance, and advising the Board and senior leadership.

Key Responsibilities

1. Corporate Governance & Board Support

• Coordinate and manage Board of Directors’ meetings, Committee meetings, AGMs/EGMs—preparing notices, agendas, minutes, and follow-ups.
• Advise the CFO on legal and statutory obligations, corporate governance best practices, and strategic decisions.
• Organize stakeholder communication and ensure the proper execution of Board directives.

2. Regulatory Compliance & Legal Filings

• Maintain statutory registers (e.g., members, directors, charges); file annual returns, forms, and resolutions with MCA, ROC, and other authorities.
• Monitor and ensure compliance with the Companies Act, 2013.
• Undertake secretarial audits to verify adherence to statutory and governance requirements.

3. Compliance Oversight & Risk Management

• Draft and manage the annual compliance calendar, internal checklists, and process documentation.
• Identify compliance risks, undertake periodic compliance testing, and follow up on remediation measures.
• Timely escalation of any significant compliance breaches to the Board or the appropriate committee.

Qualifications & Competencies

• Commerce Graduate/ Law Graduate, Qualified Company Secretary
• Proven experience in compliance, secretarial practice, corporate governance, and legal frameworks.
• Exceptional organizational, communication, analytical, and drafting skills.
• High integrity, professional ethics, and the ability to maintain stakeholder confidence.
• Proficiency in regulatory portals (e.g., MCA, ROC, SEBI), and digital governance tools.

Reporting & Stakeholder Engagement

• Reports directly to the CFO.
• Coordinates closely with Finance, Legal, HR, RTA, internal auditors, and external advisors.
