Job Title: Company Secretary

Job Description

Rufi Real Estate and Investments Pvt Ltd is seeking an experienced and qualified Company Secretary to independently handle all secretarial functions, particularly for India Entities. The ideal candidate will ensure compliance with regulatory requirements, provide governance guidance, and work closely with the Director.

Key Responsibilities

Corporate Governance and Secretarial Services:

  • Advise on governance practices and ensure compliance with corporate governance norms under various laws and regulations.
  • Assist in developing corporate and social sustainability frameworks.
  • Handle company promotion, formation, and incorporation processes.
  • File and register documents, forms, returns, and applications as an authorized company representative.
  • Coordinate and manage board/general meetings and follow up on actions.
  • Manage tasks related to securities, including their transfer and transmission.
  • Act as the custodian of corporate records, statutory books, and registers.
  • Conduct secretarial and compliance audits.
  • Sign annual returns and provide certifications and declarations under the Companies Act.

Additional Duties:

  • Assist in internal audits, banking services, finance, accounting, and taxation.
  • Ensure efficient handling of all regulatory requirements related to the company’s operations.

Qualifications and Skills

  • Must be a qualified member of the Institute of Company Secretaries of India (ICSI).
  • Additional qualifications or experience in Internal Auditing will be a strong advantage.
  • Excellent knowledge of company law, corporate governance, and compliance.
  • Strong organizational and communication skills.
  • High attention to detail and the ability to work independently.

Residency Requirement

  • Residency in Coimbatore is mandatory.
