Job Description – Company Secretary
Experience: 5–6 Years
Reporting to: CFO
Key Responsibilities:
- Ensure compliance with all statutory and regulatory requirements under the Companies Act, 2013 and other applicable laws.
- Handle Board Meetings, Committee Meetings, General Meetings – drafting agenda, notices, minutes, resolutions, and maintaining statutory records.
- File necessary returns, forms, and documents with MCA, SEBI, RBI, and other regulatory bodies as required.
- Advise the Board and Management on corporate governance practices and ensure adherence to best governance standards.
- Draft, review, and vet agreements, contracts, and legal documents from a compliance perspective.
- Coordinate with auditors, regulators, and stakeholders for secretarial matters.
- Maintain statutory registers, record, and ensure timely filings.
- Assist in corporate restructuring, mergers, acquisitions, and related legal compliances.
- Liaise with legal counsel on company law and other related matters.
- Support management in strategic decision-making by providing compliance insights.
- Manage investor relations, shareholding patterns, and dividend-related compliances.
Qualifications & Skills:
- Qualified Company Secretary (CS) with 5–6 years of post-qualification experience, preferably in a manufacturing / listed company environment.
- Strong knowledge of Companies Act, SEBI regulations, and corporate governance practices.
- Excellent drafting, communication, and presentation skills.
- Ability to interact with senior management and Board members confidently.
- Detail-oriented, proactive, and capable of managing multiple priorities.
Preferred Background:
- Exposure to listed company compliance and liaison with regulatory authorities.
- Experience in handling board matters independently.
- Knowledge of corporate laws, FEMA, and capital market regulations will be an added advantage.
Job Type: Full-time
Pay: ₹55,000.00 - ₹65,000.00 per month
