Job Summary:
We are seeking a qualified and experienced Company Secretary to join our leadership team. The ideal candidate will be a member of ICSI and must have prior experience working with a listed company. This role demands in-depth knowledge of corporate laws, SEBI regulations, stock exchange compliance, and governance best practices. The Company Secretary will act as the key point of contact between the board, senior management, shareholders, regulators, and stock exchanges.
Key Responsibilities:
- Ensure compliance with provisions of Companies Act, 2013, SEBI LODR Regulations, and other applicable laws.
- Manage all secretarial functions for the company, including board meetings, general meetings, and committee meetings.
- Draft agendas, notices, minutes, resolutions, and maintain statutory registers and records.
- File necessary returns and forms with ROC, SEBI, and stock exchanges.
- Ensure timely disclosures and compliances related to Insider Trading, SAST Regulations, and Corporate Governance norms.
- Handle correspondence with stock exchanges, depositories, and other regulatory authorities.
- Manage the preparation and filing of the Annual Report, including Director’s Report, Corporate Governance Report, and Secretarial Audit Report.
- Advise the board and senior management on corporate governance and statutory obligations.
- Liaise with external auditors, legal advisors, and consultants.
- Maintain strict confidentiality of sensitive information and documents.
- Ensure compliance under ESOP, share transfers, and issuance/allotment of securities.
Qualifications and Skills:
- Qualified Company Secretary (Member of ICSI).
- Minimum 5–10 years of post-qualification experience, with at least 2–3 years in a listed company.
- Strong knowledge of Company Law, SEBI Regulations, Listing Agreements, FEMA, and Corporate Governance.
- Excellent communication, drafting, and interpersonal skills.
- Ability to work independently and handle confidential matters with discretion.
- Experience in handling investor relations and shareholder queries is a plus.
