Job Summary:
The Company Secretary (CS) is a key managerial personnel responsible for ensuring the company’s compliance with statutory and regulatory requirements and for implementing decisions made by the Board of Directors. The CS acts as a vital link between the Board, management, shareholders, and regulatory authorities.
## *Key Responsibilities:*
1. Statutory & Regulatory Compliance
* Ensure compliance with the *Companies Act, 2013* and rules made thereunder.
* Maintain statutory registers such as Register of Members, Directors, Charges, etc.
* File necessary returns, forms, and documents with the *Registrar of Companies (ROC)* and *Ministry of Corporate Affairs (MCA)*.
* Ensure timely filing of *annual returns, **financial statements, and **board resolutions*.
* Handle compliance with *SEBI (LODR) Regulations, **Listing Agreements, and **stock exchange* requirements (for listed companies).
* Liaise with *RBI, **SEBI, **NSDL/CDSL*, and other regulatory bodies.
2. Board and Committee Meetings
* Organize, convene, and attend *Board Meetings, **Annual General Meetings (AGM), and **Extraordinary General Meetings (EGM)*.
* Prepare and circulate *notices, **agenda, **board notes, and **minutes*.
* Advise the Board on governance and legal matters.
* Ensure proper recording and safe custody of minutes and resolutions.
3. Corporate Governance
* Ensure the company follows sound *corporate governance practices*.
* Assist the Board in discharging its fiduciary and regulatory obligations.
* Draft and implement *Board policies, **code of conduct, and **risk management frameworks*.
* Monitor changes in relevant legislation and regulatory environment.
4. Legal and Contractual Matters
* Draft, vet, and review *contracts, **agreements, and **legal documents*.
* Manage *trademark, **intellectual property, and **legal compliance* related matters.
* Liaise with external legal counsels on litigation or regulatory disputes.
5. Shareholder Relations
* Manage communication with *shareholders, **investors, and **registrar & transfer agents (RTA)*.
* Oversee *dividend declaration, **share transfers, and **issue of share certificates*.
* Handle *grievances* of shareholders and ensure compliance with *Investor Education and Protection Fund (IEPF)* rules.
6. Secretarial Audit (if applicable)
* Conduct and coordinate *Secretarial Audit* as per *Section 204 of the Companies Act, 2013*.
* Prepare and submit the *Secretarial Audit Report* to the Board.
Qualifications & Skills:
* *Must be a Member of the Institute of Company Secretaries of India (ICSI).*
* LL.B or additional qualification in finance or management is preferred.
* In-depth knowledge of *Company Law, **SEBI Regulations, **FEMA, **Tax Laws, and **Corporate Governance*.
* Excellent communication, drafting, and presentation skills.
* Proficiency in *MCA portal, **compliance management tools, and **MS Office*.
Experience:
* *For Listed/Medium to Large Companies:* 5–10 years of post-qualification experience.
* *For Startups or Private Limited Companies:* 2–5 years of experience.
Job Type: Full-time
Pay: ₹25,000.00 - ₹35,000.00 per month
