As we scale, we’re looking for a dynamic Company Secretary who can strengthen our governance framework, ensure legal compliance, and play a key role in supporting leadership decisions.

Key Responsibilities:
Corporate Governance & Compliance
- Ensure full compliance with Companies Act, 2013, and all applicable statutory regulations.
- Manage board and committee meetings—including agenda preparation, minute drafting, resolution filings, and follow-ups.
- Maintain statutory records, registers, and documentation as required under the law.
- Prepare and file annual returns, event-based compliances, and other ROC filings.
Advisory & Strategic Support
- Advise management on corporate laws, governance practices, and regulatory updates.
- Support leadership with legal due diligence, policy formulation, and risk management activities.
- Act as the bridge between the company, government authorities, regulatory bodies, and external stakeholders.
Secretarial & Documentation Excellence
- Draft, review, and maintain legal documents, agreements, and contracts relevant to the advertising/digital industry.
- Ensure compliance with FEMA, SEBI, IP-related matters, and other regulatory frameworks (as applicable).
- Oversee shareholding structure, ESOP documentation, and investor-related compliance (if applicable).
Business & Operational Support
- Assist with internal audits, compliance checks, and implementation of best governance practices.
- Coordinate with Finance, HR, and Leadership teams for cross-functional compliance.
- Support statutory audits and liaise with auditors on secretarial matters.
Required Skills & Qualifications
- Qualified Company Secretary (ACS).
- Strong understanding of Companies Act, corporate governance, ROC compliances, and secretarial standards.
- Excellent drafting skills and attention to detail.
- Strong communication, organizational, and stakeholder management abilities.
- Ability to handle confidential information with integrity and professionalism.
- Proficiency in MS Office, compliance tools, and documentation systems.
