Job Title: Company Secretary
Location: Santacruz west
Reports To: Managing Director / Board of Directors
Job Purpose:
To ensure the company complies with all statutory and regulatory requirements, maintain corporate governance standards, and provide legal and strategic advice to the management and board.
Key Responsibilities:
1. Statutory Compliance:
- Ensure timely filing of returns, forms, and documents with the Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA), and other regulatory bodies.
- Maintain statutory registers, records, and minutes of meetings as required under the Companies Act.
- Ensure compliance with SEBI, RBI, FEMA, and other applicable laws (as relevant).
2. Board & Shareholder Meetings:
- Organize and coordinate Board Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
- Prepare agenda, notices, and minutes for meetings.
- Advise the Board on legal, governance, and procedural matters.
3. Corporate Governance:
- Develop and oversee policies, procedures, and practices to ensure good corporate governance.
- Act as a bridge between management and the board, ensuring transparent communication.
4. Legal & Secretarial Support:
- Draft and vet legal documents, contracts, and agreements.
- Liaise with regulatory authorities, auditors, lawyers, and stakeholders.
- Handle company incorporation, mergers, acquisitions, and other corporate actions.
5. Other Responsibilities:
- Maintain confidentiality of sensitive corporate information.
- Ensure compliance with company policies and ethical standards.
- Provide periodic compliance and governance reports to management.
Qualifications & Skills:
- Qualified Company Secretary (Member of ICSI).
- Bachelor’s degree in Law, Commerce, or related field preferred.
- In-depth knowledge of the Companies Act, SEBI Regulations, FEMA, and Corporate Governance practices.
- Excellent drafting, communication, and analytical skills.
- Strong attention to detail and ability to manage multiple priorities.
Experience:
- Experience Level: 2–5 years (for mid-level) / 6–10 years (for senior role).
- Industry Preference: Corporate, Manufacturing, Financial Services, or Listed Companies.
