Scripbox is India’s leading digital wealth management platform, on a mission to help individuals make smarter investment decisions. As part of our growth strategy, we are actively acquiring and company Secretary into our ecosystem.
The Company Secretary will lead the secretarial, governance, and regulatory compliance framework for Scripbox and its subsidiaries. The role is central to strengthening Board governance, SEBI compliance, corporate structuring, and pre and post IPO complainces.
Key Responsibilities
1. Corporate Governance & Secretarial Compliance

Ensure full compliance with the Companies Act, 2013, MCA filings, and secretarial standards.
Manage Board, Committee and - holder meetings, including agendas, minutes, resolutions, and action tracking.

Maintain statutory registers, member records, share certificates, and digital secretarial files.

Handle annual filings, XBRL, event-based filings, and group-entity compliances.

Advise management on corporate law matters, corporate restructuring, ESOPs, and shareholder actions.
2. SEBI, Listing & Pre-IPO Support

Lead compliance for SEBI (ICDR, LODR) regulations in preparation for listing.

Coordinate with merchant bankers, lawyers, and auditors for DRHP, DD, governance checks.

Ensure adherence to SEBI governance norms—Board committees, policies, disclosures, insider trading framework, etc.

Manage cap table, ESOP pool, vesting records, and compliance with SEBI ESOP regulations.

Support due diligence for investor queries, capital actions, and regulatory submissions.
3. Transactions, Structuring & Legal Coordination

Support corporate actions such as:

Mergers, Amalgamations, Business transfers, Capital restructuring

Rights issues / private placements / preferential allotments

Ensure timely regulatory approvals (MCA, SEBI, ROC, RBI where applicable).

Review transaction documents with legal counsel and monitor compliance timelines.
4. holder & Investor Support

Coordinate with RTA for maintaining shareholder records and resolving investor queries.

Manage communications with investors, including disclosures, share transfers, and documentation.
5. Internal Controls & Policy Framework

Develop governance policies—Code of Conduct, Insider Trading SOP, Board charters, D&O compliance, etc.

Ensure readiness for internal audits, statutory audits, and risk control matrices for governance.
Skills & Qualifications
-
ACS (mandatory); LL.B. preferred
-
4–5 years’ experience in corporate secretarial roles, preferably in technology, BFSI, or regulated entities
-
Strong understanding of SEBI regulations, corporate restructuring, ESOP management
-
Excellent documentation, drafting, and communication skills
-
Ability to handle multi-entity compliance in a fast-paced environment
-
Experience in working with founders, investors, and senior leadership
