Company Secretary

Job Summary:
We are looking for a talented and enthusiastic Company Secretary to support statutory compliance, maintain company records, and assist with Board and regulatory requirements.

Job Title : Company Secretary

Experience : 2 - 5 yrs

Location : Marol, Mumbai

Job Responsibilities :

1. Companies Act

2. FEMA Regulations, including the issue of shares to foreigners and related filings such as FC-GPR and FC-TRS

3. Downstream Investment, FLA Return, and ESOP reporting to AD Bank

4. ODI Regulations, including filing of APR Return, incorporation of subsidiaries outside India, and related compliances

5. Drafting Agreements, such as Joint Venture Agreement, Shareholders Agreement, Royalty Agreement, and Service Agreement

6. Due-diligence Activities and Secretarial Audit

7. External Commercial Borrowing (ECB) Loan Process and filing of monthly ECB-2 returns

8. Compliance related to dividend payments to foreign shareholders and buyback of shares from foreign shareholders

9. Labour Law Compliances

10. Trademark and copyright activities

11. Communicating and coordinating with foreign clients

12. Advising on good governance practices and compliance with Corporate Governance norms as prescribed under various Corporate, Securities, and other Business Laws and regulations

13. Formation and incorporation of companies and related matters

14. Filing documents, including forms, returns, and applications, and coordinating with various departments as an authorized representative of the company.

15. Conducting board/general meetings and ensuring follow-up actions

16. Managing tasks related to securities, including their transfer and transmission

17. Maintenance and Preparation of corporate records, minutes, statutory books, and registers

Job Type: Full-time

Pay: ₹40,000.00 - ₹60,000.00 per month
