Job Description – Company Secretary (IPO & Compliance Head)

Location: Vikhroli East

Position: Company Secretary (Key Managerial Personnel)

Reporting To: CFO.

Industry : Chemical Manufacturing.

Role Overview : We are seeking an experienced and dynamic Company Secretary (CS) with strong expertise in IPO execution and regulatory compliance to join Kalpsutra Chemicals Pvt. Ltd. The candidate will be responsible for steering the company through its IPO journey, ensuring adherence to SEBI, ROC, and Stock Exchange regulations, and driving best practices in corporate governance.

Key Responsibilities :

IPO & Capital Market Activities

  • Lead and manage the entire IPO process including coordination with Merchant Bankers, SEBI, Stock Exchanges, RTA, Auditors, and Legal Advisors.
  • Draft and review DRHP/RHP, offer documents, due diligence certificates, and compliance checklists under SEBI ICDR & LODR regulations.
  • Ensure timely regulatory filings with SEBI, ROC, and Stock Exchanges.
  • Manage pre-IPO activities like corporate restructuring, bonus issues, ESOPs, promoter reclassification, and corporate governance strengthening.
  • Handle allotment process, investor communication, listing approvals, and post IPO compliance framework.

Corporate Governance & Compliance

  • Ensure compliance under the Companies Act, 2013, SEBI, FEMA, and allied laws.
  • Conduct Board, Committee, and Shareholder meetings, drafting agendas, minutes, resolutions, and filings (MCA/ROC forms).
  • Act as a liaison between the Board, regulators, and stakeholders.
  • Maintain statutory registers, records, and oversee filings in XBRL/MCA formats.

Secretarial & Legal Advisory

  • Advise management on corporate laws, listing obligations, disclosure norms, and governance practices.
  • Monitor evolving regulatory changes and ensure proactive compliance.
  • Coordinate with external consultants, tax advisors, and auditors on compliance related matters.

Desired Candidate Profile

  • Educational Qualification: Member of the Institute of Company Secretaries of India (ACS/FCS).
  • Experience: 3 years of post-qualification experience, with at least 3–5 IPOs handled independently (SME/Mainboard).
  • Strong exposure to capital markets, SEBI, stock exchange, and ROC filings.

Skills & Competencies:

  • Deep knowledge of SEBI ICDR, LODR, Companies Act, FEMA, and corporate governance frameworks.
  • Strong drafting, presentation, and regulatory liaison skills.
  • Ability to work under pressure and manage multiple stakeholders.
  • Proactive, detail-oriented, and excellent communicator.

Job Type: Full-time

Pay: ₹40,000.00 - ₹80,000.00 per month
