Company Secretary. Ability to handle Secretarial/Legal would be preferable.

Experience

Minimum 1 to 3 Years of Post Qualification Experience as Company Secretary

Key Responsibilities:

§ Responsible for entire gamut of secretarial work including compliance with Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, SEBI (PIT) Regulation, SEBI (Insider Trading) Regulation, Companies Act, 1956/2013, Corporate Governance norms & Secretarial Standards prescribed by ICSI and in particular:

- Uploading and preparing documents for filing at BSE

- Assessing in Board/Committee/General Meetings and drafting of agenda/minutes;

- Maintenance of statutory registers;

- Filling & filing of statutory forms/returns;

- Monitoring of borrowing/investment limits; and

- Process relating to share transfer/ transmission

§ Incorporation, Voluntary Winding up and Fast Track Exit of Companies

§ Compliance with applicable laws & Implementation of statutory compliance framework;

§ Adequate knowledge of Loan documentation (including external commercial borrowings), creation of security and satisfaction of charges and compliance with FEMA/Reserve Bank Guidelines

§ Providing information/support to Fellow Subsidiaries/Holding Company as an when required.

§ Liaising with Registrar of Companies, Reserve Bank of India, Practising Company Secretary, Statutory Auditors and Depository.

§ Drafting of Legal documents, trade mark registration.

Job Types: Full-time, Permanent

Pay: ₹40,000.00 - ₹60,000.00 per month

  • Board / AGM / Secretarial Management: 1 year (Preferred)
  • Statutory Filings & ROC/BSE Liaison: 1 year (Preferred)
  • Legal & Loan Documentation (FEMA/RBI): 1 year (Preferred)
  • Analytical, Multitasking & Interpersonal Skills: 1 year (Preferred)
