Job Title: Company Secretary

Location: Head Office – Coimbatore
Department: Accounts & Finance
Reporting To: Chief Financial Officer (CFO)
Compensation: ₹7 Lakhs per annum
Experience: 3–7 years
Education: Qualified Company Secretary (Member of ICSI)

Role Objective

The Company Secretary will be responsible for ensuring end-to-end statutory and regulatory compliance under the Companies Act, 2013 and other applicable laws. The role involves advising the Board and senior management on corporate governance matters, maintaining statutory records, managing Board and General Meetings, and ensuring timely filings with regulatory authorities. The incumbent will play a key role in strengthening governance frameworks and compliance culture across the organization.

Key Responsibilities

A. Statutory Compliance & Secretarial Matters

  • Ensure compliance with the Companies Act, 2013, applicable Rules, and Secretarial Standards (SS-1 & SS-2).
  • Prepare, review, and file all statutory returns and forms including but not limited to MGT-7, AOC-4, DIR-3 KYC, PAS-6, MSME returns, etc.
  • Manage annual, event-based, and periodic filings with ROC, MCA, and other regulatory authorities.
  • Coordinate and support secretarial audits, internal audits, and regulatory inspections.
  • Maintain and update statutory registers and records (Members, Directors & KMP, Charges, Contracts & Arrangements, Shareholding, etc.).

B. Board, Committee & General Meetings

  • Plan, convene, and manage Board Meetings, Committee Meetings, and General Meetings.
  • Draft agendas, notes, resolutions, minutes, and follow-up action trackers.
  • Ensure proper documentation, approvals, and timely implementation of Board decisions.
  • Advise the Board and senior management on legal, regulatory, and compliance-related matters.

C. Corporate Governance & Policy Framework

  • Assist in implementing and strengthening corporate governance practices.
  • Draft, review, and update internal policies, charters, and governance documents.
  • Support Board evaluation processes and compliance monitoring mechanisms.
  • Act as a key governance advisor to the Board and management team.

D. Legal & Compliance Support

  • Support compliance with other applicable laws such as FEMA, SEBI regulations (if applicable), and allied corporate laws.
  • Liaise with external legal advisors, consultants, and regulatory authorities as required.
  • Monitor changes in corporate laws and regulations and assess their impact on the company.
  • Provide secretarial and compliance support for corporate actions such as incorporations, restructuring, share issuances, and related matters.

Job Type: Full-time

Pay: ₹55,000.00 - ₹60,000.00 per month
