Job Summary

The Company Secretary will be responsible for ensuring compliance with statutory and regulatory requirements under the Companies Act, 2013, and other applicable laws. The role involves supporting the Board and senior management in corporate governance, secretarial documentation, and routine compliance activities.

Key Responsibilities1. Corporate & Secretarial Compliance

  • Ensure compliance with the Companies Act, 2013, and applicable rules.
  • Prepare, file, and maintain statutory forms, returns, and registers with ROC, MCA, and other authorities.
  • Handle annual filings including AOC-4, MGT-7, DIR-3 KYC, etc.
  • Maintain statutory records, minutes books, and company registers.

2. Board & Committee Support

  • Assist in organizing Board, Committee, and General Meetings.
  • Draft agendas, notices, minutes, and resolutions.
  • Ensure timely circulation of meeting documents and follow-ups on action items.

3. Regulatory & Legal Support

  • Coordinate with auditors, consultants, and regulatory authorities.
  • Assist in drafting and reviewing agreements, MOUs, and corporate documents.
  • Support due diligence, audits, and inspections as required.

4. Corporate Governance

  • Ensure adherence to corporate governance best practices.
  • Assist in implementing policies and procedures aligned with regulatory requirements.
  • Support senior management in governance-related matters.

5. Records & Documentation

  • Maintain records of licenses, approvals, and statutory documents.
  • Ensure proper documentation and safe custody of legal and secretarial records.

Skills & Competencies

  • Strong knowledge of the Companies Act, 2013
  • Familiarity with MCA portal and statutory filings
  • Good drafting and documentation skills
  • Attention to detail and compliance-oriented mindset
  • Effective communication and coordination skills
  • Ability to manage deadlines independently

Preferred Attributes

  • Prior experience in corporate secretarial or compliance roles
  • Exposure to audits, board processes, and regulatory filings
  • Experience in mid-sized or growing organizations is an advantage

Job Types: Full-time, Permanent

Pay: ₹300,000.00 - ₹600,000.00 per year
