The Company Secretary cum Executive Secretary is a pivotal dual role, serving as the primary liaison between the management, and stakeholders while providing comprehensive administrative support to the executive team. This professional is responsible for ensuring the organization's adherence to all legal and regulatory requirements, maintaining high standards of corporate governance, and optimizing the efficiency of the executive office.
Key Responsibilities
Company Secretarial Duties
- Corporate Governance: Advise the MANAGEMENT on corporate governance best practices, ethical standards, and legal responsibilities.
- Meeting Administration: Plan, coordinate, and attend all Board, committee, and general meetings (AGMs/EGMs), including preparing agendas, distributing board packs, taking accurate minutes, and following up on action points.
- Regulatory Compliance & Filings: Ensure timely and accurate filing of all statutory documents, annual returns, and disclosures with relevant regulatory authorities (e.g., Registrar of Societies, Income-tax, FCRA and all others).
- Record Keeping: Maintain and update statutory records, and registers of members of Managing Committee, and all other Members of VJM.
- Legal & Compliance Advice: Monitor changes in relevant legislation and regulations (e.g., Societies Act, I.T. laws) and advise management on potential impacts and necessary policy updates..
- Liaison: Act as a key point of contact for external auditors, legal counsel, and regulatory bodies.
Executive Secretarial Duties
- Calendar Management: Expertly manage and prioritize complex diaries, schedules, and appointments for the Chief of the Organisation and senior executives.
- Communication Management: Screen and redirect phone calls, inquiries, and requests, and handle all correspondence (emails, letters, memos) with professionalism and discretion.
- Travel & Events Coordination: Arrange and manage detailed domestic and international travel itineraries, accommodations, and expense reports.
- Document Preparation: Draft, format, and proofread high-level documents, reports, and presentations, ensuring accuracy and adherence to company standards.
- Office Administration: Oversee general administrative functions, manage office supplies, and implement efficient office procedures.
- Confidentiality: Handle highly sensitive and confidential information with integrity and discretion.
Required Qualifications and Skills
- Education: A Bachelor's degree in Law, Business Administration, or a related field is required. Professional certification as a Company Secretary (e.g., Associate Member of the Institute of Company Secretaries of India - ICSI) is preferred. The person having passed Executive Program may also apply.
- Experience: Minimum of 3-5 years of proven experience in a company secretarial or high-level administrative support role.
- Legal Knowledge: In-depth knowledge of Societies Act, Trust rules, regulatory compliance frameworks, and corporate governance principles.
