Profile: Company Secretary (Female only)
Experience: Minimum 5 years as Company Secretary

Education:
· CS having membership of the Institute of Company Secretaries of India.
· Company Secretary with Bachelor/ Master Degree in Law (Additional Preference).
Key Roles and Responsibilities
- Independently handle full compliance with the Companies Act, 2013 and other applicable laws by organising and conducting timely Board Meetings and General Meetings, and completing all requisite ROC filings.
- Prepare and finalise statutory documents, including the Director’s Report, Search Report, Compliance Reports, and the Company’s Annual Report.
- Coordinate with banks for the preparation and execution of documentation related to the renewal of bank guarantees with IATA. Liaise with multiple government authorities for registration, renewal, and compliance of licenses such as FSSAI, liquor, fire, and other statutory permits.
- Liasion with the Registrar of Companies (ROC), regulatory authorities, and external professionals, including lawyers, auditors, consultants, and advisors.
- Maintain and act as custodian of statutory registers, legal records, and secretarial documents of the Company.
- Monitor and ensure overall legal, secretarial, and regulatory compliance across the organisation.
- Draft, review, and vet various legal documents including Leave and License Agreements, Service Agreements, Memorandums of Understanding (MoUs), Vendor Agreements, Settlement Deeds, and related addendums, while monitoring the Company’s legal obligations.
- Interpret applicable laws, rules, regulations, and contractual agreements to ensure enforceability and safeguard the Company’s interests.
- Coordinate with advocates and legal counsels on behalf of the Company for litigation, arbitration, and other legal matters.
- Possess hands-on experience in arbitration proceedings and represent the Company in arbitration matters as required.
- Act as a legal and compliance advisor to the Board of Directors and senior management.
- Prepare MIS reports and furnish data as required by Statutory Auditors, Internal Auditors, and management in relation to Companies Act compliances and other statutory requirements.
- Prepare, file, and submit various statutory e-forms under the MCA, FEMA, and other applicable regulations.
- Manage and facilitate Secretarial Audits and Compliance Audits of the Company.
- Assist in developing and implementing the Company’s corporate governance and social sustainability framework.
- Manage employee insurance policies including health, term, and accidental insurance, and coordinate with insurance providers.
- Undertake any other responsibilities or assignments as delegated by the Management from time to time.
