Salary: Up to INR 12,00,000 LPA depending on experience, plus generous ESOPs

Hours: Full-Time 40 hours per week

Requirements

The role

Vestd's Legal team is expanding, and we are looking for a skilled Company Secretary to play a crucial role in our mission. You will have the unique opportunity to apply your deep secretarial knowledge to a technology product, ensuring it is built on a foundation of legal accuracy and excellence.

The primary responsibilities of this role

We cannot provide an exhaustive list of duties; additional duties will arise, but the following will be core elements of this role:

  • Serve as a subject matter expert on equity-related compliances under the Companies Act, 2013, FEMA, and relevant SEBI regulations.
  • Collaborate closely with product and engineering teams by offering legal insights to help design and validate compliant digital workflows for corporate actions (e.g., ESOPs, share issuance, buybacks).
  • Work with your colleagues in the legal team to develop, draft, and maintain a comprehensive library of legally vetted templates (ESOP schemes, grant letters, Share Purchase Agreements (SPAs), board and shareholder resolutions etc.) for the platform.
  • Review new product features from a secretarial and compliance perspective and translate dense legal requirements into clear logic and product features, ensuring our platform is both legally sound and easy for non-lawyers to use.
  • Act as a legal resource for other departments, helping develop training materials and guides to ensure a consistent and accurate understanding of compliance requirements.

Essential elements for this role

These are the skills and qualifications we consider essential for this role:

  • You are a qualified Company Secretary with 5-8 years of hands-on experience in a professional services firm, specializing in advising clients on equity compliance and corporate secretarial matters.
  • You have comprehensive, practical knowledge of equity-related corporate actions, including ESOPs, private placements, rights issues, share buybacks, and the associated compliance and regulations under the Companies Act, FEMA, and SEBI.
  • You are highly collaborative and thrive in a team environment, comfortable working with other legal professionals to achieve common goals.
  • You are excited by technology and possess the ability to translate complex legal requirements into clear, actionable guidance for non-legal teams like product and engineering.
  • You can articulate legal concepts clearly and effectively to a variety of audiences and are skilled in both written and verbal communication.
  • An ability to communicate well in English, both verbally and in writing
  • You must be comfortable with working in a fully remote environment
