Job Title: Company Secretarial Manager

Quick Summary: As a key pillar of LenDenClub’s governance framework, you will lead secretarial functions for our P2P lending platform and subsidiaries. This role is vital for ensuring 100% regulatory integrity during a high-growth phase, offering a direct path to shaping corporate strategy and multi-entity compliance.
In this role, you will be expected to achieve the following key results:
Board Governance: Execute end-to-end Board and Committee meeting cycles, ensuring all agendas, notes, and minutes strictly adhere to SS-1 and SS-2 standards.
Regulatory Compliance: Own the end-to-end filing process on the MCA V3 portal (including MGT-7, AOC-4, and PAS-3) with zero-error tolerance.
P2P & RBI Liaison: Manage statutory compliance specific to NBFC-P2P regulations, ensuring all RBI and FEMA reporting requirements are met ahead of deadlines.
Capital Management: Oversee the lifecycle of share capital, including allotments, rights issues, and the technical implementation of ESOP schemes.
Audit Readiness: Act as the primary lead for secretarial audits and due diligence, coordinating seamlessly with statutory auditors and regulatory bodies.
Stakeholder Management: Provide expert advisory to senior leadership on changes in the Companies Act and SEBI/RBI guidelines to mitigate legal risks.
Experience: 6–8 years in secretarial compliance, with at least 3 years in a managerial capacity (Fintech or NBFC experience preferred).
Core Skills: Mastery of Companies Act 2013, FEMA regulations, and Secretarial Standards.
Education: Qualified Company Secretary (CS) with an active ICSI membership.
Technical: Proficient with MCA V3 portal, XBRL filings, and cap-table management.
Experience handling SEBI (LODR/ICDR) for listed entities.
LLB degree or background in legal drafting/contract management.
Familiarity with governance tools like Legasis or BoardPro.
Growth Trajectory: Senior Manager (Legal & CS) within 20–24 months, based on performance and expansion of the Vartis One ecosystem.
Skill Development: Strategic litigation management, advanced M&A structuring, and leadership of the broader Legal & Compliance function.
