Position Overview:

The Company Secretary will be responsible for ensuring compliance with the Companies Act, 2013.

Key Responsibilities:

1. Compliance Management:

- Ensure compliance with the Companies Act, 2013 and other applicable laws.

- Review and ensure timely submission of various returns and forms to regulatory authorities.

2. Board Meetings and Governance:

- Assist in arranging Board and Committee meetings, ensuring compliance with procedural requirements.

- Assist in preparing and maintaining minutes of meetings, ensuring accuracy and completeness.

3. Compliance & Secretarial Support:

- Assist in maintaining statutory registers, filing annual returns, and ensuring compliance with Companies Act, 2013.

- Prepare and file ROC forms, board meeting minutes, and AGM/EGM notices.

- Coordinate with auditors, ROC, and other regulatory authorities.

4. Corporate Governance:

- Support board meetings, AGM/EGM, and committee meetings.

- Draft resolutions, minutes, and reports.

- Ensure compliance with corporate governance norms.

5. Documentation & Reporting:

- Maintain corporate documents, agreements, and policies.

- Draft and review legal documents, contracts, and notices.

6. Stakeholder Coordination:

- Liaise with shareholders, auditors, and regulatory authorities.

- Respond to investor queries and grievances.

Requirements:

- Pursuing CS (appeared for at least one group of CS Executive/Professional).

- Knowledge of Companies Act, 2013 and corporate laws.

- Proficiency in drafting, compliance, and reporting.

- Strong communication and analytical skills.

Skills:

- CS-Executive/Professional (appeared or clearing modules).

- Experience in corporate secretarial work.

- Familiarity with compliance software (e.g., MCA filings).
