We are looking for a single professional who can seamlessly manage corporate governance responsibilities along with direct executive support to the Managing Director. The role demands strong legal understanding, sharp coordination skills, and the ability to work closely with top management while maintaining confidentiality and professionalism.
Key Responsibilities (Combined Role)
- Act as Company Secretary, serving as a key governance and coordination partner
- Ensure compliance awareness under the Companies Act, 2013 and corporate governance norms (coordination & advisory only, no statutory filing execution)
- Draft, review, and maintain:
- Board / Committee agendas, notices, minutes, and resolutions
- Internal policies, SOPs, and governance documents
- Maintain statutory records, registers, and corporate documentation
- Track compliance calendars and coordinate with external consultants, auditors, and legal advisors
- Provide governance updates, risk alerts, and compliance summaries to the MD
- Manage MD’s:
- Calendar, meetings, appointments, and travel coordination
- Prepare:
- Business presentations, reports, dashboards, and executive summaries
- Attend senior management / board meetings with MD and prepare MoM and action trackers
- Coordinate with department heads for follow-ups, data collection, and execution
- Handle professional correspondence, confidential communication, and stakeholder coordination
- Act as a single point of contact between MD, Board, and internal/external stakeholders
Key Skills & Competencies
- Strong knowledge of corporate governance & company law
- Excellent drafting, documentation, and communication skills
- Strong executive coordination and follow-up capability
- High proficiency in MS Word, Excel, PowerPoint
- Ability to multitask, prioritize, and work independently with senior leadership
