Contract Business Law Attorney

A boutique California law practice is seeking an experienced Contract Business Law Attorney to support a growing corporate and entity practice. This is an anonymous posting; firm details will be shared with qualified applicants.

Responsibilities

• Attend and lead business law consultations with the lead attorney and clients (via Zoom or in person in Berkeley).
• Advise on and oversee formation and dissolution of California LLCs, corporations, and partnerships.
• Draft, review, and redline operating agreements, bylaws, minutes, resolutions, and related documents.
• Advise on changes in ownership, membership/stock transfers, conversions, and reorganizations.
• Track and advise on compliance requirements under the California Corporations Code and Secretary of State (statements of information, BOI reports, etc.).
• Approve final versions of documents for delivery to clients.
• Provide practical guidance on ongoing entity governance and compliance.

Qualifications

• J.D. and active license to practice law in California.
• Minimum of 5 years’ experience in entity formation, dissolution, and corporate governance.
• Strong knowledge of California Corporations Code, LLC Act, and compliance requirements.
• Excellent drafting and communication skills.
• Friendly, reliable, and easy to collaborate with.

Compensation

• Contract position: $100–$175 per hour, depending on experience.
• Alternative flat-fee arrangements available for specific projects.
• Primarily remote work with flexibility.
