About the position

We are seeking a seasoned Corporate Lawyer to act as a strategic legal partner, bringing structure, compliance, and clarity to our corporate documentation and legal processes.

The role will begin with a comprehensive audit of existing corporate and contractual documents, identifying gaps, inconsistencies, and potential risks. Following the audit, the role will evolve into ongoing legal advisory and risk management support, guiding contracts, compliance, IP, employment matters, and new business initiatives on an as-needed basis.

Responsibilities

Legal Audit

  • Conduct a full audit of all company legal documents, including:
  • Employee agreements
  • Consultant and contractor agreements
  • Partnership and collaboration agreements
  • NDAs and confidentiality agreements
  • Creative freelancers’ agreements
  • Vendor agreements (SaaS, service providers, etc.)
  • Identify inconsistencies, outdated clauses, gaps, or missing documents.
  • Advise leadership on risks and compliance issues related to existing agreements and templates.
  • Ensure all contracts and processes align with business goals, legal standards, and regulatory requirements.
  • Establish and maintain efficient legal workflows and processes across the organization.

Ongoing Legal Support (Ad Hoc)

  • Serve as the go-to legal resource for management and key teams on contracts, compliance, IP, and risk management.
  • Provide strategic guidance on new initiatives, products, and market expansions.
  • Support HR with employment law, contractor engagement, and workplace compliance issues.
  • Review and negotiate third-party agreements to protect corporate interests, intellectual property, and sensitive data.
  • Proactively identify potential legal risks and recommend mitigation strategies.

Requirements

  • Law degree and bar qualification in a US jurisdiction.
  • 6+ years of experience in corporate law, ideally across multiple contract types.

  • Experience drafting, reviewing, and maintaining corporate documentation.
  • Strong understanding of employment agreements, contractor agreements, IP clauses, NDAs, and vendor contracts.

  • Proven experience drafting corporate and employment documents for startups, ensuring the safeguarding of intellectual property and data security.
  • Ability to perform a structured audit and create efficient legal processes.
  • Exceptional attention to detail and ability to communicate complex issues clearly.
  • Comfortable working with remote teams and fast-changing environments.

Job Type: Contract

Pay: $32.00 - $38.00 per hour
