An exciting opportunity has arisen for a Junior to Senior Associate to join a leading Global Corporate Group in New York. This role involves working on complex private equity and M&A transactions, representing a diverse client base including private equity funds, institutional investors, family offices, alternative asset managers, and their portfolio companies. You will play a key role in high-value transactions across a range of sizes, with a focus on middle-market deals.


Responsibilities


  • Represent clients in leveraged buy-outs, add-on acquisitions, divestitures, growth investments, strategic joint ventures, and general corporate matters.
  • Draft and negotiate complex M&A and private equity transaction documents and related investment agreements.
  • Act as a key member of deal teams, managing transactions from due diligence through closing.
  • Produce acquisition, equity, and related documents in a client-ready format.
  • Collaborate with internal teams and clients to ensure seamless execution of transactions.


Qualifications


  • 2–6 years of experience in private equity and M&A transactions from a reputable law firm
  • JD from an accredited law school
  • Strong drafting and negotiating skills for complex agreements.
  • Experience managing key aspects of transactions, including due diligence and closing.
  • Active membership in the New York State Bar.
  • Ability to work independently and as part of a team in a fast-paced environment.
