Corporate Counsel can be in Indianapolis IN or Franklin TN. Full-Time In Office ( NOT a Hybrid position)

Core Responsibilities of our Corporate Counsel:

  • Review incoming contracts from customers and vendors, and coordinate with company stakeholders to produce redline responses.
  • Draft sales, supply, services, consultant, lease and IT contracts in cooperation with company stakeholders.
  • Lead and/or support negotiations of pending contracts with customers and vendors.
  • Track contract compliance, and update/renew contracts as required by company.
  • Review and refresh standard company contract forms and policies.
  • Assist the IP Manager with routine confidentiality agreements, joint development agreements, and licensing agreements.
  • Lead the IP department in managing the insurance portfolio and related claims and oversee corporate record retention.
  • Assist company stakeholders with product quality or liability issues, and any potential product recalls.
  • Coordinate with outside counsel and internal stakeholders, when required, to support pending discovery and/or litigation.
  • Review and advise company stakeholders on general legal matters.
  • Required Juris Doctorate (J.D.) from accredited law school - Technical discipline preferred in undergraduate degree (but not required)
  • 2-15 years law firm or in-house experience, preferably with a manufacturing company
  • Current bar registration

Additional Responsibilities – as qualifications permit

  • Interview company inventors to review sufficiency of invention disclosures and ensure correct inventorship.
  • Coordinate with IP Specialist to develop patent application figures corresponding to approved invention disclosures.
  • Draft initial patent applications and coordinate with outside patent counsel to finalize filings.
  • Coordinate with IP Manager to develop and execute patent strategies.
  • Coordinate with outside counsel in the filing, prosecution, renewal and defense of company trademarks.


  • Juris Doctorate (J.D.) from an accredited law school
  • 2-15 years law firm or in-house experience, preferably with a manufacturing company
  • Current bar registration
  • Undergraduate degree in a technical discipline
