About the Role

We are seeking a Corporate Counsel to join our growing team and serve as a trusted business partner across the organization. This is a hands-on, mid-level in-house role for an attorney who thrives on collaboration and wants to apply legal expertise in a fast-paced industrial distribution environment.

The Corporate Counsel will be a key advisor on commercial contracts, corporate governance, compliance, and risk management. You’ll work closely with leaders in Sales, Procurement, Operations, HR, Finance, and Executive Leadership to provide practical, business-oriented legal guidance that supports strategic growth while protecting the company.

What You’ll Do

  • Draft, review, and negotiate a wide range of commercial agreements (supply, distribution, vendor, customer, and real estate).

  • Support M&A activity through due diligence, transaction documentation, and integration matters.

  • Provide legal advice on compliance, regulatory issues, and business initiatives.

  • Manage disputes and coordinate with outside counsel on litigation and claims.

  • Support corporate governance, board matters, and subsidiary management.

  • Partner with HR on employment-related legal matters, including restrictive covenants and separations.

  • Deliver training on legal topics such as contracts, compliance, and confidentiality.

  • Help drive adoption of legal processes, templates, and contract lifecycle management (CLM) tools.

  • Serve as a liaison between Legal and business teams, translating legal advice into actionable guidance.

What We’re Looking For

  • Juris Doctor (JD) degree from an accredited U.S. law school.

  • Active bar membership in good standing.

  • 5–7 years of legal experience, ideally a mix of law firm training and in-house counsel work.

  • Strong background in commercial contracts; experience in governance, compliance, and employment law.

  • Proven ability to manage outside counsel and litigation strategy.

  • Excellent communication skills, with a practical, solutions-focused approach.

  • Ability to balance legal risk with business objectives in a dynamic environment.
