Summary:

AgReserves, Inc is seeking an ethical and detail-oriented Corporate Counsel to provide legal and compliance support for AgReserves, Inc. and its domestic and international affiliated entities, including a wide variety of investment, management, and operational transactions relating to agricultural real estate and business.

Responsibilities:

  • Manage third-party claims and litigation matters including labor and employment, personal injury, property and contract disputes etc. to resolution.
  • Provide support to the Company’s HR professionals on domestic and international labor and employment matters.
  • Define and direct the work of outside counsel to ensure timely and thorough evaluation and resolution of legal matters in a consistent and professional manner at reasonable cost.
  • Provide legal support for Company initiatives to ensure compliance with regulatory, industry, and internal policies, including research, advice, training, and internal investigations regarding compliance matters.
  • Act as an effective conduit between external advisors and internal stakeholders to ensure fully informed legal evaluations and recommendations are achieved and implemented.
  • Support the Company in the procurement and administration of liability insurance programs.
  • Advise General Counsel and Senior Management on matters associated with Company farm and ranch operations, agricultural production and leasing, federal and state administrative rules and regulations, and counseling on a wide range of policy initiatives.
  • Maintain familiarity with domestic and international laws that affect the Company and its business operations, including those relevant to sales and marketing of farm and ranch products (e.g., EPA, FDA, USDA, and PACA regulations, and state corollaries).
  • Stay abreast of and advise on changes in industry trends affecting the Company and its business and assist with the development of policies and training.
  • Draft, negotiate, and review a wide range of agreements, including purchase and sale agreements, real estate acquisitions, land use and agricultural matters, leases, procurement, construction, and general corporate matters.
  • Lead special projects and participate in cross-functional teams and committees.
  • Work closely with other members of the Legal Department and Sr. Management to ensure consistency in approach across areas of the overall business and providing support for areas outside of the primary areas of responsibility as needed.

Qualifications:

  • J.D. from ABA-accredited law school with active license to practice law in any U.S. jurisdiction.
  • 4+ years law firm experience and/or legal experience as in-house counsel.
  • General understanding of agricultural law matters, trends, and concepts. Experience supporting agricultural operations preferred.
  • Experience in litigation and litigation management.
  • Experience in liability insurance coverage and defense matters.
  • Exposure to general land and contract based transactional matters.
  • Ability to work individually or within a team and across all levels of the organization.
  • Excellent communication skills both verbal and written.
  • Superior negotiation skills that demonstrate assurance, practicality, creativity and the ability to adapt and continuously improve the effectiveness of legal services.
  • Proficient in Microsoft products and legal research tools.
  • Spanish or/or Portuguese language ability a plus.
  • Must be able to work onsite at our Salt Lake City headquarters.
  • Able to travel to various office locations, domestic and international.
