Overview:
LegitScript is looking for a commercially minded and pragmatic Corporate Counsel / Staff Attorney to join our growing legal team. This is a hands-on role well suited to a lawyer who thrives in a fast-paced, small-company environment and enjoys working across a broad range of legal matters with meaningful autonomy. You will be a key legal resource for the business, supporting commercial contracting, employment law matters, and litigation risk management, while partnering closely with leadership and cross-functional teams.
What You'll Do:
Commercial Contracting

Draft, review, and negotiate a wide range of customer and vendor commercial agreements, including SaaS and technology agreements, master services agreements, NDAs, data processing agreements, and vendor contracts.

Serve as a trusted business partner to sales, account management, product, and operations teams, providing practical legal guidance that supports deal velocity without compromising risk management.

Maintain and continuously improve the company’s contract templates, playbooks, and standard fallback positions.

Manage and track the contract lifecycle using the company’s contract management platform (Ironclad) and processes.
Litigation Risk & Dispute Management

Identify, assess, and advise on potential litigation exposure across the business, including commercial disputes, intellectual property matters, and regulatory inquiries.

Manage pre-litigation disputes and demand letters, coordinating with outside counsel as needed.

Develop and implement strategies to minimize litigation risk, including contributing to standard terms, policy development, de-escalation strategies, and process improvements.

Monitor legal and regulatory developments relevant to the company’s business and proactively brief leadership on emerging risks.
HR & Employment Law Support

Provide legal support to the HR team on a range of employment matters, including hiring practices, offer letters, performance management, terminations, and leave of absence issues.

Review and update employment-related agreements, policies, and handbook provisions to ensure compliance with applicable federal and state law.

Advise on employee relations issues and internal investigations, escalating to outside counsel where appropriate.
General Legal Operations

Assist in building and scaling legal team processes and infrastructure appropriate for a growing technology company.

Assist with outside counsel relationships and coordinate legal spend efficiently.

Support corporate governance matters, including board resolutions and entity management as needed.
What You'll Bring:

J.D. from an accredited law school and active bar membership in good standing in the jurisdiction(s) in which you practice.

2 - 4 years of legal experience, with a meaningful in-house role at a commercial technology company strongly preferred.

Demonstrated experience in commercial contracting, including SaaS, licensing, and technology-related agreements.

Experience leveraging legal operations technology platforms.

Exposure to litigation management, dispute resolution, or regulatory compliance.

Ability to work independently, manage competing priorities, and exercise sound judgment with limited supervision.

Strong communication skills - able to translate complex legal issues into clear, actionable guidance for non-legal audiences.

Collaborative, low-ego approach and comfort operating in a lean team with a broad scope of responsibility.
Nice to Have

Experience with data privacy and security compliance (GDPR, CCPA, and similar frameworks).

Experience with online healthcare, pharmaceuticals, and other regulated products.

Familiarity with intellectual property matters, including software licensing and open-source considerations.

Prior experience supporting a sales organization or serving as embedded legal counsel for a go-to-market team.
