About the Role:
Carterwill Search is recruiting for a top-tier global law firm seeking a highly skilled Corporate Associate to join its Mergers & Acquisitions / Private Equity practice. This is an opportunity to work at the forefront of complex corporate transactions, advising major institutional clients across industries in a fast-paced, intellectually rigorous environment.
The ideal candidate is an exceptional deal attorney with demonstrated experience managing sophisticated domestic and cross-border transactions. You’ll join a high-caliber bench of corporate lawyers, industry specialists, and former government practitioners, collaborating across disciplines such as capital markets, finance, tax, executive compensation, antitrust, and ESG.
Responsibilities:

Lead and support M&A and private equity transactions from initial structuring through closing.

Draft and negotiate a wide range of core transaction documents, including purchase agreements, merger agreements, investment agreements, and ancillary filings.

Coordinate due diligence, regulatory strategy, and multi-disciplinary teams to ensure seamless execution.

Provide strategic guidance to corporate clients, portfolio companies, boards, and investors on complex business, regulatory, and transactional issues.

Navigate antitrust, activism, governance, and cross-border considerations alongside senior legal and business advisors.

Collaborate with colleagues across financing, tax, executive compensation, capital markets, and litigation to deliver integrated, comprehensive client service.
Qualifications:

Minimum 2 years of experience in M&A and private equity transactions (3rd–6th year associate level preferred).

Strong drafting, negotiation, analytical, and client-facing skills.

Experience managing complex deal processes and working with cross-functional teams.

Ability to thrive in a demanding, fast-moving, global practice environment.

Juris Doctor (JD) from an accredited law school.

Active bar membership in good standing.
