Corporate Transactional Attorney, Philadelphia/Cherry Hill, NJ


Premiere full-service law firm is seeking a mid-level/senior corporate transactional attorney to join its dynamic corporate practice group. This firm values collaboration, innovation, and delivering tailored solutions to meet clients’ unique business needs. Position Overview:


Ideal candidates will have a minimum of 6 years of experience in corporate law, with a strong background in contract drafting, mergers and acquisitions, financings, private equity, and general business representation. Securities law is a plus. This role offers the opportunity to work on high-profile deals alongside a team of skilled professionals in a supportive and growth-oriented environment.


Key Responsibilities:


-Advise clients on complex corporate transactions, including mergers, acquisitions, joint ventures, and private equity deals.

-Draft, review, and negotiate key transaction documents, such as purchase agreements, shareholder agreements, and confidentiality agreements.

-Conduct due diligence and provide strategic guidance to clients throughout the transaction process.

-Collaborate with clients, financial advisors, and other stakeholders to ensure seamless execution of deals.

-Provide guidance on corporate governance, structuring, and compliance matters.


Qualifications:


JD from an accredited law school.

A minimum of 6 years of experience in corporate law, with a strong emphasis in M&A transactions.

Ability to manage complex deals from start to finish.

Exceptional drafting, negotiation, and analytical skills.

Strong client relationship management and business development skills.

Excellent interpersonal and client servicing skills.

Strong communication skills, both written and verbal.

Ability to handle and manage multiple assignments and competing deadlines.

NJ and/or PA bar license
