Deputy General Counsel 


The Deputy General Counsel will serve as Microvast’s legal advisor supporting General Counsel in overseeing all legal, regulatory, and governance functions. This individual will work closely with the President and General Counsel to work and manage SEC compliance, corporate governance, commercial contracting, litigations, and risk management across all aspects of the business globally.


You will play a pivotal role in supporting to ensure regulatory compliance, supporting complex transactions, managing outside counsel, managing litigations, and ensuring that all company operations align with U.S. and international legal requirements for technology and public-company reporting.


Responsibilities



  • Develop a thorough understanding of and familiarity with the company's business – its markets, technology, products, services, facilities, customers, suppliers, and competitors – in order to identify trends and formulate appropriate legal structures and strategies.

  • Be a trusted advisor and strategic legal partner to the General Counsel and the business and functional teams in US, multi-jurisdictional and global legal, regulatory, and policy related matters.

  • Support in overseeing all legal, regulatory, and corporate governance matters related to Microvast’s operations and upcoming public listing.

  • Support in preparing, managing and reviewing of SEC filings (S-4, 10-K, 10-Q, 8-K, proxy statements, insider-trading policies, and board charters).

  • Support compliance with Sarbanes-Oxley (SOX) and other disclosure controls and procedures.

  • Support in overseeing all regulatory engagements, ensuring compliance with export control and safety reporting requirements.

  • Draft, negotiate and review commercial contracts, supply-chain agreements, technology agreements, warranty agreements, other commercial agreements, NDAs, and strategic partnerships.

  • Support to advise on capital-raising activities, project-finance structures, and M&A transactions.

  • Support to develop, implement and oversee corporate policies on ethics, anti-bribery, environmental, intellectual property, cybersecurity and data privacy compliance.

  • Ensure adherence to governance standards.

  • Support in ensuring legal perspectives are embedded in strategic planning, operations and decision-making.

  • Support in managing relationships with external legal counsel across SEC, IP, employment, and litigation specialties within cost and budget.

  • Support in leading enterprise-wide risk management strategy, mitigation frameworks and ensure adequate insurance coverage and compliance frameworks in US and globally.

  • Support in building and mentoring an internal legal and compliance team as the company grows that is high-performing, execution driven and business-focused legal team.

  • Proactively identifying legal risks and developing mitigation strategies to protect the interests of the company; keep the company’s General Counsel and team abreast of significant legal decisions, legislation, and regulatory rulings that may affect the company’s business or policies.

  • Support in developing, building, and implementing scalable global legal policies and procedures to ensure compliance with laws and regulations within the U.S. and all countries in which the company does business.

Qualifications & Skillsets



  • Juris Doctor (JD) from an accredited law school; active license to practice law in Texas. 

  • 15–25 years of progressive legal experience, with at least 5 years in a public company.

  • Preferred 5+ years of top law firm training.

  • Substantial in-house experience required; prior General Counsel or Deputy GC experience strongly preferred.

  • Demonstrated expertise in corporate governance, securities law, and SEC compliance.

  • Experience with public-company filings, de-SPAC or IPO transactions, and board governance.

  • Experience developing and conducting business relevant regulatory training programs and initiatives; with policy creation and deployment; and managing business dispute resolution.

  •  Experience with claims and litigation; intellectual property; health and safety; environmental matters; ethics and compliance programs; and/or mergers, acquisitions, and divestitures is a plus.

  • Familiarity with manufacturing or energy regulatory frameworks (DOE, export control) or other highly regulated sectors.

  • Proven ability to lead complex litigations and transactions, manage outside counsel, and balance legal rigor with business needs.

  • Strong written and verbal communication skills; able to present complex issues clearly to executives and boards.

  • High integrity, sound judgment, and commitment to ethical leadership.

  • Passion for clean energy innovation and enthusiasm for building the legal foundation of a technology public company.


Expected Compensation


Annual salary + bonus and stock awards + benefits.

 Pay offered may vary depending on multiple individualized factors, including market location, job-related knowledge, skills, and experience. The total compensation package for this position may also include other elements dependent on the position offered.
