Blue Energy is seeking a highly experienced Deputy General Counsel – Corporate & Commercial to serve as the company’s principal attorney for all corporate, commercial, and transactional matters.
This individual will play a critical leadership role in shaping the company’s legal strategy as it transitions from early-stage development to full-scale commercialization. The Deputy General Counsel will provide direct legal support for corporate growth initiatives, strategic partnerships, project development, and financing transactions, while ensuring sound governance and compliance practices.
This role reports to the Chief Commercial Officer and offers significant opportunity for career advancement as the company grows and expands its project portfolio.
Corporate & Commercial Transactions:
- Lead and negotiate complex commercial contracts, including offtake agreements (PPAs), OEM/vendor supply agreements, EPC and service contracts, and partnership frameworks.
- Structure and execute development capital raises, joint ventures, strategic partnerships, and M&A opportunities.
- Provide legal guidance on project finance, equipment finance, and non-dilutive capital strategies, including tax equity and credit monetization.
- Draft, review, and negotiate a broad range of transactional documents that support company growth and risk mitigation.
Strategic Legal Counsel
- Serve as a trusted advisor to the executive leadership team and Board of Directors on key legal and commercial matters.
- Advise on corporate strategy, risk management, and long-term commercial structuring.
- Collaborate cross-functionally with finance, development, engineering, and government affairs teams to ensure legal alignment across company initiatives.
- Participate in company-wide strategic planning and business development efforts.
Corporate Governance & Compliance
- Oversee corporate governance frameworks, entity formation and structuring, capitalization tables, and intercompany arrangements.
- Support board and shareholder activities, ensuring proper governance documentation and compliance with regulatory requirements.
- Implement scalable internal policies, controls, and legal processes that align with best practices for a growth-stage energy company.
- Monitor emerging laws, regulations, and policy developments affecting energy infrastructure, financing, and nuclear deployment.
Risk Management & Legal Operations
- Design and implement effective risk management and contract management systems.
- Develop templates, playbooks, and negotiation strategies to support efficiency and consistency across commercial operations.
- Manage outside counsel relationships, ensuring cost-effective, high-quality support across multiple jurisdictions.
- Build and lead an internal legal team as company needs evolve.
- Juris Doctor (JD) from a top-tier law school with an excellent academic record.
- 12+ years of corporate, commercial, and transactional law experience, gained through a combination of top law firm practice and in-house counsel roles.
- Significant experience in energy infrastructure, project development, or industrial manufacturing sectors. (Nuclear experience is not required.)
- Deep understanding of complex commercial deal structures, financing arrangements, and long-term partnership agreements.
- Proven track record leading negotiations for high-value transactions.
- Exceptional judgment, communication, and leadership skills.
- Ability to work in a fast-paced, entrepreneurial, and mission-driven environment.
- Fluency with power markets, energy policy, and regulatory frameworks impacting large-scale infrastructure projects.
- Experience with project finance (including tax equity, debt, and hybrid structures).
- Familiarity with federal incentives and tax credit mechanisms (e.g., IRA, ITC, PTC).
- Background in technology or data center offtake structures.
- Experience developing or managing a growing legal team.
- Comfort operating in a startup or high-growth company setting with evolving priorities.
