Position Overview:
We are seeking a seasoned legal and corporate governance professional to lead our Legal & Secretarial function. The ideal candidate will bring deep expertise in corporate law, regulatory compliance, and company secretarial practices, with a strong understanding of the Indian legal and regulatory landscape. This role is critical in ensuring our firm’s legal integrity, risk management, and governance standards.
Key Responsibilities:
Legal Advisory & Compliance
- Provide strategic legal counsel on corporate, commercial, and regulatory matters.
- Draft, review, and negotiate contracts, agreements, and other legal documents.
- Ensure compliance with applicable laws, rules, and regulations (Companies Act, FEMA, BIS, Demat, etc.).
- Manage legal risks and provide proactive solutions to mitigate exposure.
Company Secretarial Functions
- Oversee all secretarial functions including board meetings, shareholder meetings, and statutory filings.
- Ensure timely and accurate compliance with ROC and other regulatory bodies.
- Maintain statutory registers and records as per the Companies Act.
Labour & Industrial Relations
- Advise on labour laws, employment regulations and industrial relations matters.
- Ensure compliance with applicable labour legislations including Shops & Establishments Act, Factories Act, Payment of Wages Act, etc.
- Handle employee grievances, disciplinary actions, and dispute resolution in coordination with HR.
- Liaise with labour authorities and represent the clients / firm in labour-related proceedings, if required
Corporate Governance
- Advise on best practices in corporate governance and ensure adherence to internal policies.
- Support the Board and Committees with governance frameworks and documentation.
Stakeholder Management
- Liaise with external legal advisors, regulatory authorities, and internal stakeholders.
- Represent the firm in legal proceedings, if required.
Team Leadership
- Lead and mentor a team of legal and secretarial professionals.
- Foster a culture of compliance, integrity, and continuous improvement.
Qualifications & Skills:
- Education: CS (Company Secretary) is mandatory; LLB or equivalent legal qualification preferred.
- Experience: Minimum 10–12 years in legal, secretarial, and labour law roles, preferably in professional services or consulting firms.
- Strong knowledge of Indian corporate laws, labour laws, regulatory frameworks, and governance standards.
- Excellent drafting, negotiation, and communication skills.
- Proven leadership and team management capabilities.
- Ability to work in a fast-paced, dynamic environment with multiple stakeholders.
