We are looking for a highly motivated and detail-oriented Director of Contracts to support the negotiation, execution, and lifecycle management of contracts covering:

  • Managed IT Services
  • Managed Security Services
  • Governance, RiskCompliance (GRC) solutions
  • Resale of Microsoft cloud products and licensing agreements and other software and hardware offerings

You'll work closely with sales, operations, and service delivery teams to ensure our agreements align with legal, regulatory, and business requirements including compliance with CMMC, NIST 800-171, data privacy laws, Microsoft partner obligations, and specific client expectations.

This is an excellent role for a team player with a strong work ethic, a sharp legal mind, and a willingness to roll up their sleeves to support both high-impact contract work and the operational backbone of our contract function.


Duties and Responsibilities

Contract Review, DraftingNegotiation

  • Review, draft, and negotiate a wide range of agreements, including:
    • Client-Facing Agreements:
      • Master Services Agreements (MSAs)
      • Statements of Work (SOWs), Product Orders, Change Orders, Task Orders, Purchase Orders, IDIQ Agreements, Amendments
      • Contracts for Project Implementation, Product LicensingResale, Managed IT Services, Managed Security Services, and CMMC ComplianceAssessment Support
      • Terminations, Renewals, Service Upgrades, and Name Changes
      • Data Processing Addenda (DPAs) and Security Requirement Addenda
    • Third-Party Agreements:
      • Hardware, On-Premises Software, and SaaS Reseller Agreements, including Transfers, Acknowledgements, Renewals, and Terminations
      • Non-Disclosure Agreements (NDAs) with Clients, Vendors, Subcontractors, Advisors, and Employees
      • Vendor Agreements, Subcontractor Agreements, Partner Agreements, and Referral Agreements

Contract ManagementWorkflow Automation

  • Manage contract lifecycle processes, including intake, execution, offboarding, and tracking key terms, deadlines, and renewal dates using internal tools and templates
  • Create and implement internal processes for Change Orders, Terminations, and Service Modifications
  • Automate and optimize contract workflows and approval processes

ComplianceRisk Management

  • Assist in assessing legal and contractual risks related to cybersecurity, privacy, data protection, liability, service levels, and regulatory flow-downs (e.g., DFARS, CMMC)
  • Review agreements for compliance with cybersecurity frameworks such as CMMC, NIST SP 800-171, ISO/IEC 27001, and FedRAMP
  • Ensure contract terms comply with Microsoft reseller program obligations (AOS-G, CSP), including end-user license terms and pass-through requirements
  • Support responses to supplier compliance requests (e.g., codes of conduct, security questionnaires, certificationsrepresentations, and attestation letters)

Cross-Functional Collaboration

  • Work closely with Sales, Operations, Security, Finance, and Compliance teams to align contract terms with business objectives
  • Support Marketing by reviewing Event Sponsorship Agreements, Testimonial Releases, Production Vendor Agreements, and Event Terms
  • Support Accounting and Procurement teams with contract reviews and obligations
  • Coordinate with outside counsel as needed for complex legal issues

Administrative Support

  • Maintain and evolve contract playbooks, clause libraries, and standard templates tailored to managed services, cybersecurity, and GRC offerings
  • Maintain organized client files with consistent naming and document storage practices across teams
  • Help coordinate contract approvals and version control across business units


Job Specifications

Required

  • Bachelor's degree in business management with a concentration related to contracts negotiations, or related course of study
  • Minimum 7-10 years of experience drafting, negotiating, and managing contracts with a strong emphasis on commercial transactions-ideally in a technology, SaaS, managed services, or cybersecurity environment
  • Solid foundation in contract law, licensing, and the legal, regulatory, and financial risks associated with service delivery and technology transactions
  • Strong drafting, negotiation, and issue-spotting skills, with the ability to deliver practical, business-minded legal guidance
  • Genuine interest in cybersecurity, data privacy, federal compliance frameworks (including CMMC, NIST SP 800-171, DFARS), and governance, risk, and compliance (GRC) services
  • Proven ability to manage competing priorities and deadlines in a dynamic, fast-paced environment
  • Excellent verbal and written communication skills, with strong attention to detail and organizational efficiency
  • Proficient in Microsoft Office and Excel; experience with contract lifecycle management tools, ServiceNow, or Microsoft Cloud Reseller Program requirements is a plus


Optional / Desired

  • Background working with a managed service provider (MSP), cybersecurity company, or cloud reseller
  • Exposure to technology transactions, including agreements related to Microsoft's CSP and AOS-G licensing programs, or government contracting
  • Familiarity with compliance frameworks such as CMMC, NIST SP 800-171, DFARS, and similar federal or industry-specific standards
  • Knowledge of data privacy laws, including CCPA, GDPR, and related regulatory requirements
