Title: Director of Corporate and Governance Affairs

Job Summary:
Under the supervision of the Chief Of Staff (COS), the Director of Corporate and Governance Affairs (DCGA) of Omni Family Health (Omni) provides leadership and administrative support to a growing network of state-of-the-art health centers serving California’s Central Valley. As a member of the Administration Department, the DCGA provides leadership and oversight to the Executive Office, corporate administration, and governance staff, ensuring effective execution of related functions and administrative operations in support of organizational objectives. This role serves as a key liaison to the Board of Directors, regulatory agencies, and community partners, ensuring timely, accurate, and compliant communications, and supporting governance processes, documentation, and regulatory requirements.

Job Duties:

  • As part of the Executive Office, ensures the appropriate management of the CEO’s calendar so that all priorities are met and proactively planned; Oversees travel and other logistical arrangements as directed and appropriate.
  • Leads projects; Provides project leadership; Prioritizes simultaneous or conflicting needs; Handles matters expeditiously, proactively and follows-through on projects to successful completion, often with deadline pressures.
  • Provides a bridge for smooth and productive communication between the Executive Office and internal departments, demonstrating leadership to maintain credibility, trust, and support with executive management and staff.
  • Conserves Executive Office time by reading, researching, and routing correspondence and answering inquiries appropriately; Ensures the Executive Office remains well informed.
  • Responsible for drafting internal memorandums and correspondence on behalf of the Executive Office as directed.
  • Creates and maintains Executive Office reports and presentations as directed.
  • Selects and evaluates staff in conjunction with department Directors, Chiefs, or his/her appointees; Develops professional growth opportunities.
  • Directs the efforts of corporate and governance personnel, ensuring effective project management aligned with the goals of the Executive Office and Strategic Plan.
  • Remains abreast of best practice corporate and governance initiatives; Ensures organizational compliance with applicable rules and regulations set forth in bylaws regarding board matters.
  • Provides oversight and direction to corporate, board, and committee calendars and agendas, including the organization, planning, and execution of board and committee meetings, retreats, and other corporate or governance related meetings or events.
  • Attends administrative, board, and committee meetings; Oversees development of minutes, actions, and timely completion of tasks.
  • Oversees planning of corporate or board trips; Directs necessary travel arrangements, lodging, meal planning, and other logistics as needed.
  • Maintains discretion and confidentiality in relationships with all board members.
  • Tracks vacation schedules of corporate employees for the purpose of use by the Executive Office.
  • Ensures all corporate and Executive Office mail and correspondence is routed as necessary.
  • Oversees all administrative and executive ordering of supplies and keeps up inventory of supplies.
  • Ensures the department provides cohesive support to the mission, vision, and core values while delivering superior customer service.
  • Works closely with all corporate branches, divisions, and/or departments in accordance with Omni’s policies and procedures.
  • Other duties and/or responsibilities as the DCGA may be assigned from time to time.
  • Some travel may be required.

Additional Duties:

  • Health Insurance Portability and Accountability Act (HIPAA) Compliance: Responsible for maintaining abreast of and in compliance with all HIPAA regulations and requirements.
  • Compliance: Ensures compliance with all local, state, and federal regulations.
  • Quality Assurance/Quality Improvement (QA/QI): Participates as required in QA/QI activities and contribute towards the overall quality improvement initiatives of the organization.
  • Information Technology (IT): May be required to learn and use the electronic health record and its components as required by the job functions and highlighted in the policies and procedures. These components include NextGen, Practice Management System (PMS), Quality Systems In. (QSI), and other electronic features as they are developed and implemented, as applicable to work environment.
  • Patient Centered Medical Home (PCMH): All employees will participate in PCMH at Omni Family Health.
  • Audits: Contributes to required Health Resources and Services Administration (HRSA), Operational Site Visit (OSV), The Joint Commission (JC), and other audit events.

Qualifications, Education, and Experience:

  • Bachelor’s Degree in Business Management, Healthcare Administration, or related field.
  • Eight (8) years of administrative experience supporting C-level executives, with five (5) years in a management position.
  • Strong proficiency in Microsoft Office Suite, including Word, Outlook, Excel, and PowerPoint.
  • Proven experience in project management preferred.
