We are seeking to hire a Special Projects Lawyer to join our Emerging Growth and Venture Capital practice group. This position is remote and all candidates must be licensed and living in a state with a K&L Gates LLP office. The ideal candidate will have at least five years of relevant corporate experience and will support a range of special projects for our Emerging Growth and Venture Capital team.

Key Responsibilities include:

• Assisting with company formations and preparing basic formation documents, including certificates of incorporation, bylaws, subscription agreements, vesting agreements, board consents, and required qualifications
• Supporting equity issuances for emerging growth and venture capital clients
• Assisting with basic consulting and employment agreements
• Managing ongoing Carta administration and upkeep

• Maintaining data rooms and document repositories for client matters

This role offers the opportunity to work closely with experienced partners on a wide variety of corporate matters in a collaborative, fast-paced environment.

Base Compensation $100 - $115 / hour

The compensation salary for this position will be determined during the interview process and will vary based on multiple factors, including but not limited to prior experience, relevant expertise, current business needs, and market factors.
