A highly regarded AmLaw 100 firm is seeking an experienced Employee Benefits / ESOP attorney to join its nationally recognized practice.


The group is known for handling complex ESOP work that sits at the intersection of corporate, tax, ERISA, and finance. If you’re someone who enjoys deep technical work and advising clients on transactions that actually move the needle, this is worth a look.


You’d be based in New York, but the firm is open to other East Coast offices for the right fit.


What you’ll handle day to day

  • Advising on ESOP plan design, administration, compliance, and transactions
  • Guiding clients through fiduciary issues, valuation concerns, and prohibited-transaction questions
  • Working closely with corporate deal teams on M&A involving ESOP-owned companies
  • Drafting and negotiating executive comp arrangements (409A, 280G, incentive plans)
  • Supporting clients through DOL/IRS audits, plan amendments, terminations, and distributions

  • Meaningful experience with ESOPs – not surface-level exposure
  • Confidence navigating ERISA, IRS rules, and compensation structures
  • Clear, practical communication with clients
  • Strong academic background and steady law firm experience
