Position Overview
We're seeking an exceptional Estate Planning & Business Planning Paralegal to join our boutique law firm in a unique multi-faceted role. This position combines traditional paralegal expertise in estate planning with business entity planning and drafting, plus leadership of our innovative Client Care Program. You'll be instrumental in creating outstanding estate and business planning documents using Wealth Counsel's comprehensive drafting suite, while ensuring our clients receive an unparalleled ongoing experience that keeps their plans current, effective, and properly funded. This role is perfect for a detail-oriented professional who combines technical excellence with business acumen and a genuine passion for building lasting client relationships.
What We Are Looking For
Estate Planning & Business Planning Legal Expertise
- Minimum 3-5 years of experience as an estate planning paralegal
- Experience with business entity planning and drafting (2+ years preferred)
- Comprehensive knowledge of trusts, wills, powers of attorney, healthcare directives, and beneficiary designations
- Strong understanding of business entity structures (LLCs, corporations, partnerships)
- Experience drafting operating agreements, buy-sell agreements, and business succession documents
- Familiarity with asset protection strategies and business-related trust planning
- Understanding of trust funding and asset titling requirements for both personal and business assets
- Experience drafting estate planning documents under attorney supervision
- Familiarity with probate and trust administration processes
- Knowledge of estate and gift tax concepts and their intersection with business planning
Technical & Systems Proficiency
- Proficiency with Wealth Counsel drafting software (required or willingness to master quickly)
- Experience with legal practice management software (Clio experience strongly preferred)
- Experience with document management and client relationship management systems
- Comfort with digital vault systems and secure document storage
- Strong skills in Microsoft Office Suite and Adobe Acrobat
- Ability to learn new software systems quickly and efficiently
- Familiarity with business entity filing systems and Secretary of State portals
Education & Certification
- Bachelor's degree or Paralegal Certificate from an ABA-approved program required
- Current membership in good standing with a paralegal association (preferred)
- Willingness to pursue continuing education in estate planning, business planning, and client service
- Business law coursework or business degree (a plus)

Core Responsibilities
Estate Planning Paralegal Duties (40% of role)
Document Preparation & Management
- Draft comprehensive estate planning documents including revocable living trusts, wills, powers of attorney, healthcare directives, and ancillary documents under attorney supervision using Wealth Counsel
- Prepare trust amendments, restatements, and certifications of trust
- Create and maintain detailed estate planning checklists and document assembly systems
- Review and proofread all documents for accuracy, consistency, and completeness
- Manage document execution process, including coordinating notarization and witnessing
- Maintain organized client files in both physical and digital formats
- Coordinate estate planning with business succession planning for business owner clients
Client Communication & Coordination
- Serve as primary point of contact for clients throughout the estate planning process
- Conduct initial client intake meetings to gather information and explain the process
- Schedule and prepare materials for client meetings and document signings
- Explain document provisions and answer procedural questions (within paralegal scope)
- Coordinate with financial advisors, CPAs, and other professional advisors as needed
- Follow up with clients to ensure completion of action items and funding tasks
Trust Funding & Asset Transfer
- Coordinate Funding & Transfer of Assets via our Online Vault
- Draft deeds for real property transfers into trust
- Prepare assignment documents for various asset types, including business interests
- Coordinate with financial institutions for account re-titling
- Handle transfer of business entity ownership interests into trusts
- Track and document the funding status of each client's estate plan
- Follow up systematically to ensure complete trust funding
Business Planning Drafting Responsibilities (25-35% of role)
Business Entity Formation & Maintenance
- Draft articles of organization and articles of incorporation using Wealth Counsel templates and resources
- Prepare comprehensive operating agreements for LLCs (single-member and multi-member)
- Draft corporate bylaws and organizational resolutions
- Prepare partnership agreements and amendments
- Create initial meeting minutes and organizational documentation
- Prepare annual meeting minutes and corporate/LLC maintenance documents
- Assist with amendments to entity formation documents
- Coordinate business entity filings with Secretary of State and relevant agencies
Business Succession & Buy-Sell Planning
- Draft buy-sell agreements (cross-purchase, entity redemption, and hybrid structures)
- Prepare business succession planning documents in coordination with estate plans
- Create agreements for key person insurance and funding mechanisms
- Draft non-compete and non-solicitation agreements when appropriate
- Prepare employment agreements and independent contractor agreements as needed
- Create documents for gradual business transition planning
- Coordinate business succession planning with overall estate plan
Asset Protection & Business Trust Planning
- Draft asset protection trusts for business owners using Wealth Counsel tools
- Prepare limited liability company structures for asset protection purposes
- Create documentation for business property transfers into protective structures
- Draft charging order protection documentation
- Prepare family limited partnership agreements when appropriate
- Coordinate with estate planning trusts to provide comprehensive protection
Business Client Support
- Gather information about business structures, ownership, and succession goals
- Prepare business client intake questionnaires and checklists
- Coordinate with business clients' CPAs, financial advisors, and business consultants
- Track business entity compliance deadlines and filing requirements
- Maintain organized files of business formation and planning documents
- Research business law issues and entity planning strategies under attorney supervision
Client Care Program Leadership (25-35% of role)
Estate Plan & Business Plan Maintenance & Monitoring
- Develop and maintain comprehensive tracking system for all client estate and business plans
- Conduct regular client audits to identify plans needing updates due to life changes, business changes, or law changes
- Monitor trust funding status and business entity compliance
- Proactively identify gaps or issues in both estate and business planning
- Oversee our secure Online Vault system, ensuring all client documents are current and properly stored
- Maintain detailed trust inventories and business entity documentation
- Create systematic review schedules for client plan maintenance
- Track business entity annual filing deadlines and remind clients of compliance requirements
Client Experience Program Participation
- Execute innovative ways to enhance the client experience at every touchpoint
- Identify opportunities to exceed client expectations in meaningful ways
- Document and systematize successful client experience initiatives
- Measure client satisfaction and identify areas for continuous improvement

Compensation and Benefits
